Mutares has wrapped up the latest leg of its capital-markets housekeeping, confirming it accepted in full the tenders submitted under its partial repurchase offer for the 2023/2027 Nordic bond. Notes with a nominal value of EUR 10.4 million were taken up, with the buyback executed at par plus accrued interest through the settlement date.

That leaves roughly EUR 222 million in nominal paper outstanding in investor hands, according to media reports. The early redemption is designed to give management a clearer picture of its remaining obligations and to reorder maturities ahead of a broader refinancing of the variable-rate note, which is slated for the second half of the fourth quarter of 2026.

Portfolio Work Cuts Both Ways

While the balance sheet gets tidied up, Mutares has stayed busy reshaping what it owns. On the acquisition side, the group closed its purchase of Synthomer a.s. from Synthomer plc on Wednesday through a carve-out, a deal meant to bulk up the Chemicals & Materials segment. A separate agreement, struck on Tuesday, covers the takeover of Steinmüller Engineering GmbH from IHI Corporation via a share deal. That transaction still hinges on customary closing conditions, with completion pencilled in for the fourth quarter of 2026.

Divestments have moved just as briskly, and the group has shown a clear preference for handing businesses back to the people who run them. On 23 September, Moeder & Kind B.V., better known as Prénatal Netherlands, passed to managing director Jochem van Bueren, with signing and closing taking place simultaneously and the deal limited to the Dutch operations.

Five days earlier, on 18 September, Mutares parted with Cimos d.d. The buyers were members of the incumbent management team, backed by investor Vero Automotive 111 d.o.o. Two portfolio companies offloaded to internal leadership in the space of a week trims operational complexity across the holdings and frees up financial flexibility.

Market Waits on the Refinancing

Investors have been cautious. The stock closed Thursday at EUR 24.20, putting the company's market capitalisation at EUR 619.95 million. Since the start of the year, the shares have shed 19 percent.

With the buyback offer now settled, attention turns squarely to the refinancing steps ahead. For Mutares, the task is to put its capital structure on a dependable footing and preserve room to manoeuvre for the transactions still to come.
