Metaplanet's shareholders are being asked to approve something unusual in the annals of corporate finance: handing over 2,100 Bitcoin as consideration for a controlling stake in another company. The vote, scheduled for October 16, 2026, was flagged in a shareholder letter from partner firm Super League Enterprise. Should investors and the remaining closing conditions sign off, Metaplanet would take the reins at Super League and settle the bill in cryptocurrency rather than cash.

The proposal marks a shift in how the Tokyo-listed company treats its digital holdings. No longer content to warehouse tokens and wait for the next price swing, management is putting its reserve to work as acquisition currency — a role that tests whether institutional investors are ready to accept a volatile asset as deal consideration.

A Modest Friday Gain, a Rough Year

Shares added 4.3% on Friday to close at EUR 1.47, lifting the company's market capitalization to roughly EUR 1.98 billion. No company-specific announcement drove the advance; attention instead settled on recent regulatory filings covering the capital structure and ongoing financing programs. The longer view is less flattering — the stock has shed 34% since the start of the year.

Buyback Authority Goes Unused

A monthly status report published October 1 laid out just how quiet the company's capital measures were in September. Metaplanet repurchased no shares of its own stock during the month and spent 0 JPY on buybacks, despite an authorization permitting the repurchase of up to 150,000,000 shares for a maximum of 75 billion JPY through October 28, 2026.

The same filing showed no exercise of the company's 27th series of stock acquisition rights, which had previously been issued through an allocation to third parties. At month's end, 947,300 rights remained outstanding — equivalent to a potential 94,730,000 shares. The restraint suggests management is keeping its powder dry for strategic purposes and balance-sheet protection rather than retiring equity.

Should investors sell immediately? Or is it worth buying Metaplanet?

A 97 Million Dollar Tax Position

Alongside the share-related disclosures, management offered financial detail on the accounting fallout from earlier portfolio maneuvers. At its U.S. holding subsidiaries, a preliminary deferred tax asset of roughly $97 million has emerged. The final bookkeeping treatment and the precise figure remain subject to the regular financial close and review by auditors.

That tax position traces back to Bitcoin transactions in the third quarter of fiscal 2026, when the company sold 10,000 Bitcoin and promptly bought back 11,000 units. Proceeds from the sale exceeded outstanding bond amounts, loans and other interest-bearing liabilities, even as those obligations stayed on the books.

44,000 Bitcoin and a Deliberate Liquidity Display

The capacity to carve out a package of 2,100 Bitcoin rests on a steadily expanding base. As of the September 30 reference date, Metaplanet reported total holdings of 44,000 Bitcoin, having added a net 1,000 units during the third quarter of fiscal 2026.

The quarter's headline move was a calculated credit test: the company first sold 10,000 units for 124.7 billion yen, then repurchased 11,000 units for 149.9 billion yen. The round trip demonstrated the ability to transact at scale in the tens of billions of yen — a signal aimed squarely at capital markets participants assessing the treasury's liquidity.

Operating guidance for the Bitcoin Income segment was left unchanged for the full year.

From Reserve to Operating Owner

Taking a majority stake in Super League Enterprise would end the purely passive era of the treasury. For investors, the trade-off cuts both ways. On one side sits the leverage of deploying crypto holdings for concrete corporate acquisitions that open up operating revenue streams. On the other, management inherits the burden of integrating such purchases profitably into the broader structure. Simply holding the tokens is giving way to entrepreneurial responsibility — and to the question of whether a reserve built for appreciation can double as a war chest.
