Metaplanet shares climbed 4.3% on Friday to close at EUR 1.47, catching a lift from a broader recovery in crypto markets. But the gain rides on something more consequential than sentiment: a company in the middle of reinventing what it is.

The Japanese firm has spent years following a template familiar to listed Bitcoin pioneers — raise capital in public markets, buy tokens, wait for the price to rise. That playbook runs into trouble the moment rallies pause or investors start asking where the actual cash flows are. Metaplanet's answer is to stop being a passive vault.

A 10-15% corridor for deals

Earlier this month the company formalized a new capital allocation policy. Roughly 85% to 90% of the portfolio will stay in Bitcoin, with the remainder earmarked for strategic investments — acquisitions and income-producing assets. That 10-15% slice is the hinge on which the entire transformation turns.

The most visible expression of the shift is the planned transaction with Super League Enterprise. Metaplanet intends to contribute 2,100 Bitcoin to take control of the Nasdaq-listed company. Super League's shareholders vote on the deal on October 16, 2026, and completion remains subject to further approvals.

Should investors sell immediately? Or is it worth buying Metaplanet?

Should the vote pass, Metaplanet gains a strategic platform in the United States and a far wider pool of international investors. The company is also positioning itself as a holding structure that deploys its crypto holdings as operating currency rather than locking them in a wallet — actively seeding new value instead of simply custodying it.

Trading the treasury, not just holding it

The pivot comes with a more hands-on approach to the Bitcoin stack itself. During the third quarter of fiscal 2026, Metaplanet sold 10,000 Bitcoin for ¥124.7 billion and bought back 11,000 units for ¥149.896 billion. As of the September 30 cutoff, the total holding stood at 44,000 coins.

Those maneuvers serve a dual purpose. They demonstrate a willingness to manage the position tactically rather than cling to pure holding discipline, and they give rating agencies evidence of sufficient liquidity. A formal credit assessment could lower refinancing costs and open up the bond market — a lever that would ease future expansion.

A so-called Net Interest Income Strategy underpins the broader plan. The idea is to steer capital into yield-generating asset classes, using the resulting interest income to fund both additional token purchases and future dividend payments. The Bitcoin reserve would, at least in part, begin to carry itself instead of repeatedly tapping capital markets.

There is already a revenue signal from operations. The Bitcoin Income segment booked ¥848.4 million in revenue during the third quarter of fiscal 2026, bringing cumulative proceeds to ¥9,806.8 million.

Tax asset and the auditor's caveat

Metaplanet has also flagged a preliminary, unaudited deferred tax claim of roughly USD 97 million. If auditors sign off, the figure would bolster balance-sheet equity. Until the external review is complete, though, that support remains contingent — and any adjustments demanded by the auditor could leave the hoped-for strengthening smaller than projected.

The stakes for shareholders now boil down to a single question: can the company pull off the shift from pure crypto reserve to operating holding company? Management's stated aim is to build dependable earnings streams through a broader footprint. That changes the risk profile materially — investors are no longer buying a crypto vault alone, but a diversified participation model that has to prove its operating mettle.

Metaplanet at a turning point? This analysis reveals what investors need to know now.

Two-sided ledger

The optimistic case is straightforward. A successful Super League takeover delivers a US foothold and instant access to global investors, while the treasury reshuffling supports the credit narrative and the tax claim cushions equity. Together, those levers would make future expansion steps easier to finance.

The downside is equally clear. A negative vote at Super League would scuttle the US entry for now, stall the growth strategy on the table and unsettle investors. Running subsidiaries also introduces integration and management demands that a pure holding strategy never faced — and botched integration could weigh on earnings power for good.

For the share price, the guardrails are visible. If the market backdrop holds and the strategic reset earns trust, the stock can consolidate its recent stabilization. If support for the takeover flips, the expansion course risks stalling. The paper has climbed 41% off its 52-week low, yet it remains in a probationary phase ahead of the decision — and with a 34% decline year-to-date, the market's skepticism toward treasury-style models is still very much in evidence. The October 16 vote is the catalyst that will settle the direction.
