Metaplanet's Bitcoin Pile Is Worth More Than the Company Itself

A single ratio has come to define Metaplanet's predicament. The market now values the entire company at roughly 0.97 times the worth of its 43,000 Bitcoin — a discount, not a premium, and a stark reversal for a firm that spent years trading as a leveraged bet on the world's largest cryptocurrency. The stock's recent slide tells only part of the story. The deeper question haunting shareholders is whether management can still be trusted to convert that balance sheet into value rather than dilute it away.

That doubt crystallized over the past week, and it has little to do with Bitcoin's own price swings.

A Governance Wound That Won't Close

At the center of the turmoil sits an options program that metastasized in mid-August. What was originally intended as 46 million subscription rights ballooned into nearly 319.5 million shares reserved for executives, exercisable at 10 yen and locked up from sale until August 2031. The pool is capped at 319,464,000 shares, with any exercised tranches subject to a five-year holding restriction running through August 17, 2031.

CEO Simon Gerovich has publicly conceded that the company failed to adequately explain the structure of this tenth series options pool and its connection to major shareholder MMXX Ventures. It was a remarkable admission from a chief executive — and one that underscored how serious the situation has become. Governance and compensation reviews, by his own account, remain ongoing.

The personal dimension compounds the institutional one. Gerovich's ties to MMXX Ventures have fueled persistent questions about potential conflicts of interest between his role running the company and his private holdings.

Should investors sell immediately? Or is it worth buying Metaplanet?

Bitcoin on the Move

Adding to the unease, large quantities of Bitcoin have been shifting out of Metaplanet's coffers. Onchain observers flagged a transfer of roughly 4,800 BTC to Coinbase Prime in early September, alongside a separate movement of 1,600 BTC into two freshly created wallets with no prior transaction history.

Gerovich confirmed publicly that the Coinbase Prime movement was tied to the company's treasury management. That clarification should have put to rest speculation about a stealth sale — yet it did little to dispel the broader distrust of how management communicates.

Then came another blow. Phil Geiger, Metaplanet's Head of Business Development, announced his departure on Saturday to pursue new Bitcoin ventures. Losing such a visible leadership figure lands at a particularly awkward moment, arriving squarely in a phase when investors are already questioning the company's governance culture.

The Market's Verdict

Tokyo traders have made their feelings clear. The stock fell 7.5% and then nearly 10% on consecutive days last week, extending a two-day rout of roughly 17%, before a modest bounce emerged midweek. A brief recovery early in the week — helped by a broader rebound in Bitcoin prices — was quickly smothered by the company's self-inflicted governance worries.

By Wednesday's close of 1.38 euros, the shares sat about 71% below their 52-week high of 4.82 euros, reached on September 10 of last year. The year-to-date decline stands at 38%, while the twelve-month figure reaches 69% — a devaluation far beyond what Bitcoin's own volatility could explain. Annualized 30-day volatility of 81% captures just how jittery trading has become whenever fresh details about the options structure or Gerovich's outside interests surface.

An Industry Under the Microscope

Metaplanet is hardly alone in its reckoning. The entire cohort of Bitcoin treasury firms is enduring a period of heightened investor scrutiny.

Strategy, the American heavyweight holding roughly 845,000 Bitcoin, recently reported an mNAV of about 1.14 — still a premium, but one carrying its own asterisks. Rather than adding more Bitcoin this week, the company directed $176.3 million into buying back its own preferred shares, while its most recent Bitcoin purchase sits underwater.

Metaplanet at a turning point? This analysis reveals what investors need to know now.

Smaller players are struggling too. Canaan badly missed its own second-quarter revenue guidance and has pledged a substantial portion of its Bitcoin holdings as collateral.

The pattern repeats across the sector: companies that kept shareholders content for years with the promise that "Bitcoin per share grows automatically" must now prove that capital measures — options programs, equity raises, buybacks — don't work against that very pledge. At France's Capital B, the process recently ran without friction, as a EUR 25.3 million capital increase directly funded the purchase of 376 additional Bitcoin. At Metaplanet, by contrast, the impression took hold that management was serving itself first.

The Test Still to Come

For investors, several fronts have converged at once: unresolved questions about the shareholder structure, a prominent executive exit, and uncertainty over how the Bitcoin reserves are actually being used. Until Metaplanet delivers more comprehensive and consistent communication, market confidence looks likely to stay bruised — regardless of where the Bitcoin price heads next.

The real trial lies ahead. Can Metaplanet credibly sell the executive options' lock-up through 2031 as a genuine alignment of long-term interests? Or will the suspicion linger that a small group is securing access to future gains while public shareholders absorb the dilution? As long as that question goes unanswered, the discount to the company's Bitcoin holdings is unlikely to close — no matter what the crypto market does.
