Metaplanet has spent the past several weeks reshaping both its boardroom and its capital framework, a dual effort that comes as the Japanese bitcoin-treasury firm faces pointed criticism over how it pays its top brass. VanEck delivered the harshest verdict of any major crypto-treasury company on Friday, handing Metaplanet its lowest grade across all four executive-compensation criteria the investment firm applies. Among the ten largest corporate bitcoin holders worldwide, Metaplanet stood alone in receiving that failing mark.

The governance scrutiny lands at a moment of broad restructuring. Shinpei Okuno has stepped into the Chief Financial Officer role effective September 11, according to media reports, part of a leadership realignment aimed at steadying a company that had just weathered a bruising stretch of shareholder discontent. Investors had openly challenged management's direction, and that frustration spilled directly into the trading tape.

Two Days of Selling, Then a Course Correction

The pressure had been building over dilution fears, and a written message from CEO Simon Gerovich addressing governance matters did little to calm market participants. Two separate waves of selling combined to knock roughly 17 percent off the share price over two sessions, leaving the stock at 244 yen at the close in Tokyo.

That reaction pushed management into revising its existing incentive programs. The company said it was acting on feedback from shareholders and the capital markets, trimming a plan that had drawn objections over excessive issuance of new shares. The adjusted pool now holds 188,190,000 units, down from an original 319,464,000 shares — a reduction of 41.1 percent. Of that total, 105,366,000 shares remain exercisable.

Should investors sell immediately? Or is it worth buying Metaplanet?

The overhaul went beyond a simple haircut. Management scrapped a proposed transfer of 20 percent of unexercised rights into an employee pool, and split what remained into three tranches maturing in August 2029, 2030 and 2031. For investors, the changes translate into less potential dilution — though the interplay between pay practices and capital structure continues to fuel market chatter.

A Hong Kong Base for Asian-Hours Bitcoin Management

Running alongside the internal recalibration is a push to widen Metaplanet's footprint beyond Japan. On September 11 the company approved the creation of Metaplanet Asset Management Asia Limited, a wholly owned subsidiary headquartered in Hong Kong with initial capital of 1 million USD.

The unit's mandate is to manage bitcoin-linked capital investments during Asian market hours, giving Metaplanet a more targeted grip on its crypto holdings within the region's trading window. A local presence, the company reasons, should allow it to respond more nimbly to market swings across Asia. The move forms part of a broader strategy to build institutional structures outside its home market.

Administrative ranks were reinforced on the same date, with Yoshihisa Ikurumi named Executive Officer and Director of Administration. Separately, Metaplanet said it will partially revise its privacy policy effective October 19, 2026.

Where the Stock Stands

In the latest session, the shares changed hands at 1.61 euros, down 0.4 percent, holding above the 50-day moving average of 1.39 euros. The prior day's close came in at 1.60 euros, a modest 1.0 percent decline, with the company's market capitalization at roughly 1.81 billion euros.
