Medtronic's Split Math and Pipeline Wins Set Up an October Reckoning

Medtronic shareholders are watching two clocks at once. One counts down to the expiry of the MiniMed exchange offer on October 9, 2026. The other tracks a steady drip of regulatory clearances that keeps reinforcing the company's cardiovascular franchise. How those two timelines resolve will likely shape the stock's next move.
The shares finished Friday at EUR 76.72 on European trading venues, easing 0.3% on the day and 1.4% over the week. Piper Sandler reiterated its "Hold" rating on September 28 with an $85 price target, while TD Cowen reaffirmed its "Buy" call and a $110 target in a note reported Wednesday. The gap between those two views — $25 — captures the current debate neatly.
The Mechanics Behind the Recent Weakness
Much of the recent softness traces back to the technical plumbing of the MiniMed separation rather than to any deterioration in the underlying business. Under the exchange offer, a cap of 4.5939 shares applies, and the volume-weighted average price on U.S. markets fell noticeably through Friday. The structure assigns roughly $107.53 in MiniMed paper for every $100 of Medtronic stock.
The pricing window for the offer is scheduled for October 5 through 7, 2026, ahead of the October 9 expiry, which could be extended or closed early. Since the diabetes unit was carved out a little over three weeks ago, the stock has slipped 2.2%. A separate drag came from the FDA's clearance of the LigaSure RAS Maryland instrument for use on the Hugo robotic surgery system about two weeks ago — a piece of good news that nonetheless coincided with a 5.0% decline in the share price.
These transaction mechanics tie up liquidity and push institutional attention toward the arithmetic of the valuation ranges. Market observers point to this as a key reason for the recent weakness, even though the separation is designed to sharpen the core business. Medtronic carries a market capitalization of roughly EUR 98.13 billion.
Should investors sell immediately? Or is it worth buying Medtronic?
Four Regulatory Wins Land in Quick Succession
Against that backdrop, the company's pipeline has been anything but quiet. The FDA granted Breakthrough Device designation to the drug-coated IN.PACT BTK balloon catheter, which targets vascular disease below the knee. Because the product remains in development, no approval or market clearance is in place yet; Medtronic plans a global registration study enrolling around 400 patients.
Two reimbursement milestones arrived in parallel. The American Medical Association approved new Category I CPT codes for the implantable tibial neuromodulation system Altaviva and the renal denervation system Symplicity Spyral. These replace the previous Category III classifications and take effect in January 2028 — a long runway, but one that removes a persistent reimbursement overhang.
On the electrophysiology side, the Affera Prism-2 mapping software secured both FDA clearance and European CE marking. The PulseSelect ProxBox adapter, together with its spacing-indicator software, also received CE certification. Both tools aim at more precise control during electrophysiology procedures.
The cumulative effect of these clearances underpins the innovation story in high-growth therapy areas. Progress in cardiology and chronic disease treatment, in particular, offers a counterweight to the drag created by the reorganization.
What the Analysts Are Pricing In
The split between Piper Sandler's neutral stance and TD Cowen's bullish target reflects a market that is temporarily in wait-and-see mode. While major steps of the restructuring are underway, fundamental impulses from day-to-day operations tend to fade into the background. Once the pricing period closes, those technical pressures should gradually lift.
Whether the stock can then draw more fully on its product pipeline depends largely on how the clinical programs translate into results over the coming quarters. Medtronic also picked up a non-financial accolade in the meantime: inclusion in Fortune's 2026 "Change the World" list for its Touch Surgery ecosystem and Healthy Neighbor program.
