Medtronic finds itself navigating two very different narratives. On one side, the medical technology giant is pressing ahead with the spin-off of its diabetes unit MiniMed, a transaction that has weighed on its share price over the past month. On the other, its broader device portfolio keeps collecting regulatory wins and clinical momentum that analysts say underpin the longer-term story.

The stock has slipped 5.4% over the past 30 days and currently trades at EUR 76.72. In today's session the shares are showing a modest decline of 0.2%, changing hands at EUR 76.60, which puts the company's market capitalization at roughly EUR 98.13 billion.

The Mechanics of the MiniMed Swap

At the heart of the corporate restructuring is an exchange offer covering up to 225,361,295 newly issued MiniMed shares, made available to Medtronic shareholders in return for their existing holdings. The exchange ratio carries a 7% discount to the volume-weighted average price of the MiniMed stock, capped at a maximum of 4.5939 shares.

The official pricing window for that average is set for October 5 through October 7, 2026. Medtronic will announce the final exchange ratio on the trading day before the offer expires, no later than 9:00 a.m. ET. Shareholders have until October 9 to tender. The company filed supplementary paperwork with the U.S. Securities and Exchange Commission via a Form 425 to support the process.

Medtronic has also flagged a risk in its offering documents: once the deadline passes, its own stock could come under selling pressure. Clinical and Regulatory Wins Pile Up

Away from the portfolio reshuffle, Medtronic's core franchises have been busy. The American Medical Association approved new Category I billing codes for treatments using the Altaviva tibial neuromodulation system and the Symplicity Spyral renal denervation system. Regulators also handed down significant clearances in electrophysiology: the Affera Prism-2 cardiac mapping software secured both FDA approval in the U.S. and the CE mark in Europe. The PulseSelect ProxBox adapter, which includes integrated indicator software, likewise received CE certification. Together these approvals bolster Medtronic's ablation therapy offering as management completes its exit from the diabetes segment.

Fresh clinical evidence is building as well. On Saturday, at the VEINS 2026 specialist conference, the company presented new prospective findings from its VenaSeal Spectrum Program, adding to the body of data supporting the VenaSeal closure system in patients with advanced chronic venous disease.

Progress is also coming through partnerships. Orchestra BioMed reported that 330 patients had been randomized in the pivotal BACKBEAT study as of September 30, surpassing the original recruitment target of 316. Medtronic is supporting the clinical development as a strategic collaboration partner, and full enrollment is widely viewed in the medtech industry as a key step toward potential regulatory submissions.

Recognition, Analyst Support and What Lies Ahead

The operational strides have not gone unnoticed. Medtronic earned a place on Fortune's "Change the World" list for 2026, recognized for its Touch Surgery digital ecosystem and the "Healthy Neighbor" program run by the Medtronic LABS initiative.

Wall Street, meanwhile, is keeping the faith. TD Cowen reiterated a Buy rating with a price target of USD 110.00, a vote of confidence in the company's long-term product pipeline and strategic initiatives. For investors, the pace at which Medtronic executes on its clinical study programs — and keeps securing reimbursement and approvals for new therapies — remains a central gauge for the business ahead.
