Marvell's Lumentum Deal: Wall Street Reprices the Stock, Not the Sales Outlook

Marvell Technology has tightened the range around its third-quarter fiscal 2027 revenue forecast, narrowing the expected band from ±5% to ±2% while confirming that preliminary sales match its earlier guidance. The precision upgrade, disclosed Monday, says nothing about whether the company's numbers have moved — only that management is more confident about where they will land.

That distinction matters, because the market's attention has shifted elsewhere. The all-stock acquisition of Lumentum, also agreed Monday, carries an implied enterprise value of $115 billion, with Lumentum holders set to receive 4,500 Marvell shares for each of their own. Closing is targeted for the first half of calendar 2028, subject to shareholder and regulatory approvals.

Two Banks, One Target Price

The deal drew swift revisions from analysts. Bank of America Global Research cut Marvell to "Neutral" from "Buy" and slashed its price target to $225 from $400, citing the Lumentum transaction. Cantor Fitzgerald kept its "Neutral" rating but likewise trimmed its target to $225 from $350. Different starting points, same destination.

TD Cowen went further, downgrading to "Hold" from "Buy" and cutting its target to $175 from $350. The brokerage pointed to the structure and timing of the transaction as well as cyclical risks in optical technology.

Should investors sell immediately? Or is it worth buying Marvell Technology?

The Earnings Question: Whose Clock Is Right?

Marvell expects the combination to lift adjusted earnings per share in the first year after closing, supported by more than $1 billion in projected annual cost synergies and a combined addressable market the company pegs at $550 billion. Those are forecasts tied to integration, not savings already banked — and the share-based structure means the benefit must be weighed against the dilution from the newly issued stock.

TD Cowen frames the same deal on a different calendar. For calendar 2028, the brokerage models mid-single-digit percentage dilution to earnings per share. The two views are not directly comparable: one measures the first year post-close, the other a fixed calendar year. Neither cancels the other out.

What the Revenue Update Does and Doesn't Cover

The narrowed sales band speaks to the existing business. It offers no read-through on dilution, integration costs, or the earnings contribution of the Lumentum combination — questions that remain open until the transaction clears its approval hurdles. Final quarterly results are still subject to the closing of the books.

Marvell Technology at a turning point? This analysis reveals what investors need to know now.

For investors, the takeaway splits cleanly in two: nearer-term revenue visibility has improved, while the longer-term payoff from the Lumentum tie-up rests on execution that has yet to happen.
