Marvell Technology shares climbed 6.2% on Friday as semiconductor stocks recovered from the sharp selloff they suffered a day earlier. Investors moved back into chip names that had fallen hard, and the reports cited no fresh company-specific catalyst behind the bounce. The rally did little, however, to settle the debate over the company's planned acquisition of Lumentum, which has become the central issue hanging over the stock.

The all-stock structure of that deal was announced on Monday. Lumentum shareholders are set to receive 4.5 Marvell shares for each share they hold, implying a company value of $115 billion. No cash will change hands — Marvell is paying entirely with its own equity. Management expects the combination to deliver annual cost synergies of more than $1 billion on a full-year basis, with completion targeted for the first half of 2028, subject to shareholder approval and the necessary regulatory clearances.

Two Brokerages Cut Their Ratings

The financing method has drawn scrutiny from analysts. On Tuesday, Bank of America downgraded Marvell from Buy to Neutral and slashed its price target from $400 to $225, pointing to a potential overhang in the shares created by the fully stock-funded Lumentum transaction. The bank also cited declining valuation multiples across the sector. TD Cowen followed with its own downgrade the same day, moving from Buy to Hold and cutting its target from $350 to $175. The firm flagged the structure and timing of the deal, possible first-year earnings dilution, and concerns about the cycle in the optical business.

Should investors sell immediately? Or is it worth buying Marvell Technology?

Not every analyst headed for the exits. B. Riley had already trimmed its price target on Monday, from $365 to $275, while keeping its Buy recommendation. Analyst Craig Ellis pointed to dilution and integration risks tied to the planned takeover.

Insider Sale Adds Another Data Point

A separate regulatory filing disclosed a transaction by Chris Koopmans, Marvell's president and chief operating officer. A family trust sold 10,000 Marvell common shares on November 2 at $186.97 apiece, according to the Tuesday disclosure.

Media reports suggested that uncertainty surrounding the Lumentum deal contributed to the selling pressure Marvell faced on Thursday, before Friday's rebound reversed part of the decline.

Guidance Narrowed Ahead of December 1 Results

On the operating side, Marvell said Monday that preliminary revenue for its third fiscal quarter of 2027 was tracking within its existing forecast. The company tightened its expected range from ±5% to ±2%. It also announced that it will report results for the quarter on December 1, 2026, with a conference call scheduled for 1:30 p.m. Pacific time.
