The financing was announced on a Tuesday, the bookbuild closed by Wednesday, and by Friday the market had already rendered its verdict. Li-FT Power's freshly priced C$20 million equity offering — 6.9 million common shares at C$2.90 apiece — is now firmly tied to a deadline that will determine whether the lithium explorer can convert its exclusive option on Quebec's Renard diamond mine into a binding acquisition.

The placement, structured as a bought deal and led by Canaccord Genuity Corp. alongside a banking syndicate, is expected to close on August 12, subject to conditional approval from the TSX Venture Exchange. Trading on both the ASX and TSXV was halted when the deal was unveiled, resuming the following day once the bookbuild cleared. Gross proceeds amount to roughly C$20.01 million, with the bulk — around C$18 million — earmarked for the first year of care-and-maintenance obligations tied to the Renard option.

A C$12 Million Fee Hangs on a Provincial Sign-Off

The legal groundwork for Renard was laid on July 14, when the Superior Court of Quebec approved a two-year exclusive option granting Li-FT Power the right to acquire the mine, its processing plant, and associated infrastructure. But the option only becomes effective — and a C$12 million option fee, currently held in escrow, only gets released — if the Ministère des Ressources naturelles et des Forêts approves a deferral of remediation work by October 3, or an agreed alternative date. Without that regulatory nod, the company cannot formally step into the option, and without the capital raised now, it could not fund the ongoing operating costs during the two-year decision window.

The syndicate also holds a 30-day over-allotment option on up to 1,035,000 additional shares at the offer price, which could raise a further C$3,001,500 for working capital. Canaccord additionally holds an option on the same number of shares at the offering price. Li-FT Power filed the corresponding Appendix 3B with the Australian exchange on Wednesday, disclosing the planned placement.

Agnico Eagle's Subsidiary Steps In as Anchor

Adding weight to the raise is Avenir Minerals Limited, a subsidiary of Agnico Eagle Mines, which announced Tuesday it would participate in the offering. Under an investor-rights agreement with Li-FT Power, Avenir holds participation rights in certain equity financings and is expected to take part to maintain its existing percentage stake. The involvement of an established mining house in the round offers institutional investors a signal of confidence in the Renard strategy — even as the share price tells a more cautious story.

A Share Price That Keeps Sliding

The market's reception has been cool. The stock closed Friday at €1.85, up 1.09 percent on the day, but that does little to offset a weekly decline of 10.82 percent. The dilution from the capital increase, layered on top of the ongoing obligations it funds, has weighed on sentiment. The shares now sit 67.46 percent below their 52-week high of €5.70, reached in late January, and are down 30.26 percent on a year-over-year basis. Investors are pricing in both the equity overhang and broader uncertainty across the lithium sector.

Beyond Renard: Drilling, Consolidation, and New Leadership

The diamond mine option is only one strand of a broader expansion push. In May, Li-FT Power completed its acquisition of Winsome Resources Limited via a scheme of arrangement, valued at roughly A$170 million, with nearly 27.9 million new Li-FT shares issued as consideration. That followed a March agreement with SOQUEM securing an additional 25 percent interest in the Galinée project in Quebec.

Exploration activity has accelerated accordingly. On July 17, the company kicked off a 39,000-meter diamond drilling program comprising 163 holes at the Adina-Galinée lithium project, after consolidating land packages from Winsome Resources, Azimut Exploration, and SOQUEM. Late June brought drill results from the Yellowknife Lithium Project, where 26 meters at 1.29 percent Li2O were intersected at the BIG-East pegmatite, with the mineralized system remaining open in several directions.

Li-FT Power at a turning point? This analysis reveals what investors need to know now.

Reports also indicate Li-FT Power is commissioning a scoping study for a lithium carbonate converter tied to Yellowknife, a downstream move that would extend the company beyond raw resource extraction. To support the next phase, the company appointed Jeff Reinson as Chief Operating Officer and April Hayward as Executive Vice President of External Affairs and Strategic Partnerships on July 20.

The financing round thus arrives amid a period of intense operational activity — a C$20 million infusion that buys time, options, and momentum, but only if Quebec's regulatory calendar cooperates.
