Lenzing has mapped out the final stretch of its €300 million capital increase, and the calendar now matters as much as the share price. Rights trading on the Vienna Stock Exchange runs through 14 October, while the subscription period is scheduled to close on 20 October — the same day Lenzing has earmarked for an international private placement of any new shares left unsubscribed.

The share's 9.2% rebound has brightened the chart, but it settles nothing about whether participating in the raise makes economic sense. That judgment rests on two separate tracks: the contractual terms of the financing and the outlook for earnings. A smoother funding picture, in other words, would not by itself prove the underlying business is turning.

What the Raise Actually Looks Like

Roughly two weeks into the cash capital increase, the terms are fixed. Lenzing is issuing 34,756,362 new shares at a subscription price of EUR 8,65 apiece, on a 10-for-9 ratio, targeting gross proceeds of about EUR 300 million. The company ties the measure to strengthening its capital structure and supporting its "Grow Nonwovens, Reset Textiles" strategy.

The issue is fully underwritten — a detail that gives the financing a different footing from a raise whose backstop is still open. It does not, however, promise anything about future earnings or the direction of the stock.

Should investors sell immediately? Or is it worth buying Lenzing?

Berenberg's Downgrade and the Price-to-Profit Gap

The sharpest challenge to the bull case came from Berenberg. On 2 October, analyst Sebastian Bray cut Lenzing to "Hold" from "Buy" and slashed the price target to EUR 17,00 from EUR 29,50. His reasoning is the part that matters for anyone weighing the subscription: higher cotton and viscose prices had not flowed through to the results as expected. Bray also pointed to the capital increase and what he described as a wait-and-see stance from main shareholder Suzano.

That was the rationale for a downgrade — not confirmation that Suzano is pulling back. The distinction is easy to blur, and it cuts to the heart of the decision facing shareholders: a friendlier pricing environment is worth little if it never reaches the bottom line.

Delivery and Trading Depend on One Registration

Lenzing has pencilled in 23 October for settlement, delivery and the start of trading in the new shares. All of it hinges on the capital increase being entered in the commercial register. The company has announced that date; it has not reported it as completed.

The schedule also draws a line between subscribing for the new shares and receiving them. Subscription and any placement come first, delivery and the trading debut follow. For investors, that sequencing says more about what happens next than any single day's move in the stock.

Reading the Next Few Weeks

A clean execution along the announced timeline would let shareholders treat the financing as more predictable — without crediting it with an earnings effect it has not yet delivered. The full underwriting supports that reading, though it remains no substitute for stronger operating performance.

What would add real weight to the optimistic case is evidence that the pricing environment Bray flagged is finally showing up in the numbers. That is a condition, not a confirmed trend. Until it materialises, the guarantee removes doubts about the funding — not about the profits. Anyone deciding on the subscription needs both: clarity on the terms, and an independent read on where earnings are headed.
