Lenzing's €301 Million Is Banked; Berenberg Says the Earnings Aren't There Yet
Published on 10/21/2026 at 12:51 | Editorial boerse-global.deLenzing has closed the books on its capital increase, and the demand was emphatic: shareholders took up 99% of the offer. Yet the €301.2 million gross proceeds settle a balance-sheet question, not the earnings question that has been dogging the Austrian fibre maker — a distinction that separates a completed financing from a proven turnaround.
The numbers are straightforward. Lenzing placed 34,756,362 new shares at €8.65 apiece, generating gross proceeds of €301.2 million. Of those, 34,411,626 were taken up through subscription rights, with the small remainder of unsubscribed stock to be sold on the market by the underwriting banks. The transaction is no longer a preliminary subscription tally; it is a finished placement.
Who Took the Shares
A substantial block of the subscribed shares — 18,159,291 — went to the syndicate comprising B&C-Gruppe and Suzano S.A., according to an APA report. That figure is already embedded in the overall subscription result and does not come on top of it. Management participated as well: board members Georg Kasperkovitz and Christian Skilich exercised their subscription rights on 12 October, transactions that document their involvement in the offer rather than any independent forecast for the stock.
Lenzing intends to use the proceeds to fund its "Grow Nonwovens, Reset Textiles" strategy and to shore up its capital structure. That linkage is precisely the point: the money is a means to an end, and the end has yet to be demonstrated in the P&L. Investors who treat the fundraising as proof of the strategy's success would be crediting the capital measure with an outcome it cannot establish on its own.
Should investors sell immediately? Or is it worth buying Lenzing?
Berenberg's Dissent
A counterweight arrived on 2 October, when Berenberg downgraded the stock. Analyst Sebastian Bray cited, among other things, higher cotton and viscose prices failing to feed through into results as expected. He also pointed to an unfavourable interest-rate environment and open questions about the stance of major shareholder Suzano ahead of what was then a pending capital increase.
That earnings objection reaches well beyond the financing. Better prices and better profits, evidently, are not automatically the same thing — which is exactly why the inflow of fresh capital should not be allowed to blur the view of operational execution.
The 23 October Milestone
Trading in the new shares under the existing ISIN is scheduled to begin on 23 October 2026 on the Prime Market of the Vienna Stock Exchange. The date is conditional on the capital increase being entered in the commercial register, so it is planned rather than guaranteed.
Lenzing at a turning point? This analysis reveals what investors need to know now.
For investors, the sequence matters: the exercise of subscription rights is captured in the subscription result, the sale of leftover shares by the banks is meant to follow, and delivery and the start of trading form a further step. A high take-up rate speaks to demand for the offer. It does not substitute for completion, and it certainly does not substitute for an operational assessment of Lenzing.
The takeaway is narrow but important. Lenzing has strengthened the financing of its restructuring. The harder task — converting that financial headroom into convincing results — remains open. Capital and earning power belong together; they are not interchangeable.
