Kioxia Puts Price Discipline Ahead of Pricing Power as Split and US Listing Loom

Kioxia plans a 1-for-3 stock split on October 1 and weighs a US listing of at least $10 billion, as CEO Hiroo Ota avoids further NAND price hikes.

Kioxia is steering into a quarter defined less by how much it can charge for memory than by how carefully it chooses not to. With a 1-for-3 stock split set for October 1 and a potential American listing still taking shape, the Japanese NAND-flash maker is asking investors to buy into a volume-and-technology story rather than a scarcity-and-price one.

That stance comes straight from the top. Chief Executive Hiroo Ota told Bloomberg on September 9 that the company wants to avoid further increases in NAND prices wherever possible, warning that pushing too hard risks choking off long-term demand from the artificial intelligence build-out. He also closed the door on speculation about a deeper tie-up with shareholder and rival SK hynix.

The caution is easy to understand against the recent numbers. In the quarter running from April to June 2026, Kioxia's average selling price for NAND flash jumped roughly 70 percent from the prior quarter. For a chipmaker, such a spike cuts both ways: it fills the coffers now while forcing server and cloud customers to redraw budgets or shelve projects. Growth, management argues, should come from shipped volumes and technical leadership — not from aggressive supply tightening.

Ownership in Flux

The shareholder register is shifting at the same time. Toshiba, which shaped Japan's memory-chip business for decades, sold down further and cut its stake to 12.84 percent as of September 7, 2026. The retreat of the old guard leaves room for new positioning — and for the risk that additional placements of legacy shares could swell the supply of stock on the market.

Should investors sell immediately? Or is it worth buying Kioxia?

Kioxia is meanwhile preparing a US listing. Reuters reports the company is exploring a deal of at least USD 10 billion through American Depositary Shares, possibly in 2027, with Bank of America, Goldman Sachs and JPMorgan lined up to advise. External observers such as Thomas at Voya Investment Management see the move as a lever to keep Kioxia permanently in the spotlight of international AI investors. Management, for its part, stresses that neither the timetable nor the venue is final and that the plan could be scrapped if conditions change.

Two Flanks of Pressure

Sentiment in the market has already run ahead of the fundamentals. The stock closed at EUR 310.00 on Friday, and such a demanding valuation leaves little room for strategic missteps. On the technical side, the shares at EUR 312.00 sit well above their 50-day moving average of EUR 294.04, underpinning the near-term constructive trend. As long as that line holds as support, momentum stays with the optimists betting on a smooth split and steady chip output. A sustained break below it would likely prompt traders to lock in gains after the massive rally and give more weight to the uncertainty over ownership.

Competition is adding pressure from abroad. While Western and Japanese manufacturers focus on margin optimization, China's CXMT in Beijing is preparing its own NAND-flash research line and is already in talks with startups working on supercomputers. For Kioxia, the imperative is not merely to defend its top position but to secure it technologically.

What to Watch

The immediate test for investors is the October 1 split record date. After that, the question is whether the stock can attract enough follow-on buyers at its new price level — or whether fundamental worries about global NAND cycles regain the upper hand. Should the data-center investment boom cool, Kioxia's deliberate restraint on price hikes would feed straight into margins; memory makers typically come under rapid pressure in a cyclical downturn when capacity can no longer be fully utilized. And if the US listing stalls or slips significantly, a key driver of the recent enthusiasm would vanish without replacement.
