IREN Stock Rebounds Amid AI Growth vs Share Dilution Tension

The arithmetic at the heart of IREN's investment case has become brutally simple. The company has locked in billions of dollars in AI cloud contracts, yet its stock sits nearly 48 percent below its November peak. Between those two facts lies a question that will define the next phase of the trade: can the business grow into its dilution faster than the dilution grows into the business?

That tension was on full display last Friday, when shares jumped 7.96 percent to EUR 35.69 — a sharp rebound from a roughly 30 percent slide between July 7 and August 7. The bounce came as investors weighed a $2.8 billion AI cloud backlog anchored by Microsoft and Nvidia against a wave of newly issued equity tied to the Mirantis acquisition and executive compensation grants.

A Pivot That Demands Capital

IREN's transformation from bitcoin miner to AI infrastructure provider has never been cheap. The company recently closed a $3.65 billion investment-grade financing package for GPU hardware to support its Microsoft contract, following a May partnership with Nvidia and the completed purchase of Mirantis, a cloud software and services specialist. The Mirantis deal closed Monday with a final consideration of roughly 12.6 million common shares, about $40 million in cash, and additional compensation components. A prospectus supplement filed alongside the transaction clears the way for resale of up to 11,981,668 shares by former Mirantis holders.

The equity issuance doesn't stop there. In early July, co-CEOs Daniel Roberts and William Roberts each received grants of 9.65 million common shares under a long-term compensation program. Combined, the Mirantis-related shares and management awards create a potential overhang of more than 43 million shares — a meaningful weight for a company with a market capitalization of around EUR 12.02 billion.

The Bull Case: Demand Exceeds Supply

Daniel Roberts offered a bullish framing in late July: customer demand for AI compute capacity is outstripping the company's ability to build new capacity. He confirmed that 85 percent of the targeted annualized revenue of over $4 billion for 2026 is already under contract. For bulls, that contractual visibility means the newly created shares will eventually be justified by rapidly growing earnings — a view reinforced by Bank of America's disclosure of a passive 5.8 percent stake, or 21,027,180 shares, in a Monday filing with US regulators.

The stock's longer-term trajectory supports some optimism. Over the past twelve months, IREN has gained 123.90 percent and still trades 142.76 percent above its 52-week low of EUR 14.70. A return toward its moving averages around EUR 40 would require a recovery of roughly 12 percent from current levels.

The Bear Case: A Heavy Share Overhang

The opposing argument is equally straightforward. With more than 24 million shares created or cleared for resale from the Mirantis transaction alone, plus nearly 19.3 million additional shares for the two co-CEOs, the dilution pressure is substantial. Against a stock with 140.45 percent annualized 30-day volatility, any negative surprise could trigger outsized moves.

Sector-specific risks add to the caution. Bernstein analysts noted Monday that a potential moratorium by the Texas grid operator on new data center permits would likely spare existing bitcoin mining sites like those operated by IREN and Riot Platforms — but the uncertainty around future permitting remains unresolved.

The Valuation Question

At a price-to-earnings ratio of roughly 85.8, IREN commands a significant premium to the broader software and technology sector. That premium reflects the company's unique position at the intersection of energy infrastructure, GPU cloud services, and digital assets — precisely the two scarcest inputs in the current AI arms race. Friday's rally also drew support from a weaker-than-expected US jobs report, which lifted risk appetite across the tech sector.

What Comes Next

The stock's 50-day moving average sits 12.13 percent above current levels, and the gap to the 52-week high of EUR 68.61, reached on November 3, remains a chasm. The next concrete catalyst arrives August 27, when IREN reports fourth-quarter and full-year 2026 results. That report will show whether the contracted revenue share is translating into actual capacity and earnings — or whether the dilution of recent weeks outweighs the growth promise. Until then, the market's verdict on IREN hinges on a single metric: the speed at which contracted demand becomes delivered revenue.
