Healthineers Puts Four New Board Names Forward as Olyrian Carve-Out and Siemens Split Take Shape
Published on 11/08/2026 at 06:11 | Editorial boerse-global.deSiemens Healthineers has nominated four new supervisory board members ahead of its 2027 annual general meeting, setting the stage for a governance shake-up that will run in parallel with shareholder votes on the company's separation from Siemens.
Melanie Kreis, Heyo Kroemer, Jonathan Lewin and Pascale Witz are the proposed new shareholder representatives, put forward by the board on Wednesday. Ralf Thomas and Peter Koerte are to stand for re-election, while Roland Busch intends to step down before his term expires. The proposals remain just that — nominations for the AGM — and none of the seats has yet changed hands.
Diagnostics Unit Gets a Name and a Deadline
On the operational front, the carve-out of the in-vitro diagnostics business began on Thursday under the Olyrian Diagnostics banner. The standalone organisation is targeted for completion by mid-2028, and until then the unit stays inside Siemens Healthineers. Customers will see no immediate difference: products, services, contracts and points of contact all remain as they are, so the launch marks an organisational step rather than an operational break.
Should investors sell immediately? Or is it worth buying Siemens Healthineers?
The larger prize is the spin-off from Siemens itself, which will be put to shareholders of both companies at their respective AGMs in February 2027. A rebranding is folded into the same timeline — Siemens Healthineers plans to shorten its name to Healthineers, with the brand transition starting in 2027 and rolling out over three years.
Buyback Tally and a Date for the 2026 Report
Alongside the structural work, the company has kept buying back its own stock. A notice dated 2 November confirmed the purchase of 50,000 shares between 26 October and 1 November inclusive. Since 1 June, repurchases had reached roughly 3.6 million shares through 1 November — completed transactions rather than a forward-looking announcement.
Investors will get the next full set of numbers on 25 November 2026, when the company publishes its 2026 annual report.
Guidance: A Softer 2027 After a Solid 2026
The financial targets frame the restructuring. For fiscal 2026, Siemens Healthineers reported comparable revenue growth of 4.0% and adjusted unadjusted earnings per share of €2.42. For fiscal 2027, management is guiding to comparable revenue growth of 4.0–5.0% and adjusted unadjusted EPS of €2.20–2.40 — a range whose midpoint sits below the prior year's result.
