The pullback underscores the jittery mood surrounding a stock that has swung wildly in recent weeks, despite a 7.7% gain over the trailing seven-day period.
At the heart of the market's attention is Seralutinib, the company's lead candidate for pulmonary arterial hypertension (PAH), and the regulatory clock that now defines Gossamer's near-term fate. The company is targeting submission of a New Drug Application (NDA) this month, following a pre-NDA meeting with the US Food and Drug Administration. According to a filing with the SEC, the agency flagged the statistical significance and treatment effect observed in the PROSERA study as items meriting review—but notably did not raise objections to the filing itself.
That distinction matters enormously for the company's balance sheet. Roughly three weeks ago, Gossamer announced a structured private placement worth up to $250 million, of which $150 million is already firmly committed. The first tranche of $25 million has been received, but the next $125 million is contingent on the FDA formally accepting the Seralutinib application for review during 2026. A further $100 million could flow in through warrants if the drug ultimately secures approval.
The financing is earmarked to carry Seralutinib through the regulatory process, and the company's liquidity position makes those milestones all the more critical. At the end of the second quarter, Gossamer held approximately $57 million in cash—a figure that, without the new capital injections, would leave limited runway.

The company has not been idle on the corporate front. That same day, the company filed documents for an extraordinary general meeting, seeking approval for the issuance of common shares and related securities, including pre-funded warrants and the conversion of preferred stock—steps tied directly to the private placement structure.
July brought another significant development when Gossamer reacquired worldwide development and commercialization rights to Seralutinib from Chiesi, following the termination of their collaboration agreement. Chiesi made a one-time payment of $5 million to Gossamer, while the biotech itself paid no upfront consideration for the rights' return.
The debt picture has also improved markedly. Shareholders approved the exchange of $181.1 million in convertible notes originally due in 2027 for new secured bonds maturing in 2030, alongside equity and warrants. The restructuring reduced total debt capital by roughly $115.9 million, according to media reports.
Those accounting effects were visible in the company's second-quarter results. Gossamer reported net income of $16.9 million, a sharp swing from the $38.3 million loss recorded in the same period a year earlier—though the profit was driven largely by balance-sheet items related to the debt restructuring. Research and development expenses fell to $26.4 million from $41.6 million year-over-year.
Analyst Conviction and the Road Ahead
On August 27, the same day the company received what it characterized as positive FDA feedback on the PROSERA program, analysts at H.C. Wainwright reiterated their buy rating on the stock with a price target of $2.00. That endorsement stands in contrast to the market's current valuation: with shares trading around €0.1605 at Tuesday's European close, the company's market capitalization sits at roughly €73.68 million.
Investors now face a compressed window of catalysts. The conference appearances this week offer an opportunity for management to provide additional color on trial timelines and financing strategy, but the defining moment will come when the FDA decides whether to accept the NDA filing. Until then, the stock's trajectory may remain as volatile as the clinical and financial variables that surround it.
