Evotec's Shareholders Are Quietly Shifting as the Stock Sits Just Above Its Floor

Evotec's equity is hovering barely above its 52-week nadir, and now the ownership register is starting to stir. A voting-rights notification filed under Article 40 of the German Securities Trading Act (WpHG) on August 31 revealed that a threshold was crossed on August 25 — though the company declined to identify the shareholder in question or specify which threshold was triggered. For a company with a market capitalization of roughly €595 million, even a modest stake acquisition can move the percentage needle meaningfully, which is why the disclosure carries more weight than it might for a larger peer.
The shares are changing hands at around €3.24, a hair above the €3.19 low touched in July. The stock has shed approximately 41 percent since the start of the year, and the recent notification adds another layer of intrigue to a story already crowded with operational setbacks and strategic recalibration.
A Convertible Bond Meant to Fund the Fix
The current fragility traces back to "Project Horizon," Evotec's sweeping restructuring initiative. To bankroll that program, the company placed a convertible bond worth €116.1 million. Media reports have linked that capital raise to the equity's weakness following the half-year results, which landed on August 13.
Those numbers made for grim reading. Second-quarter group revenue contracted 16.2 percent to €143.5 million, while first-half sales came in at €300.1 million — down from €371.0 million in the corresponding period a year earlier. Adjusted EBITDA swung to roughly minus €20.8 million in the second quarter and minus €42.7 million across the first six months.

More consequential, however, was the guidance reset. Evotec now targets revenue of €570 million to €610 million for the full year, alongside an adjusted group EBITDA range of minus €70 million to minus €105 million. That revised outlook effectively concedes that the cost-saving program is progressing more slowly than investors had hoped, and the market's reaction has been muted at best — the stock has drifted about 2.4 percent lower since the half-year release, a sign that few upside surprises remain priced in.
Analysts Had Already Flinched
The warning lights were flashing well before August. In mid-July, two research houses trimmed their views in quick succession. TD Cowen downgraded Evotec from "buy" to "hold" with a price target of $2.00, while HC Wainwright cut its target to $4.00 on the same day. The wide gap between those two targets underscores just how divided the Street remains on the company's trajectory.
Those downgrades coincided with the earliest hints of the coming profit warning — a signal that proved prescient when the formal guidance cut arrived a month later.
A Partnership That Hasn't Moved the Dial
Evotec has tried to offset the operational pain with strategic alliances. The most prominent is a recently announced AI-driven research collaboration with Odyssey Therapeutics focused on autoimmune and inflammatory diseases. The deal was unveiled roughly a month ago, yet the stock has slipped about 5.3 percent since — a telling indication that investors view such partnerships as long-term portfolio enhancements rather than near-term catalysts while the core financials remain under pressure.
Adding to the sense of flux, Camilla Macapili Languille stepped down from the supervisory board on August 7. That departure, combined with shrinking revenue, a capital-intensive restructuring, and a share price pinned near its floor, leaves management with little margin for error.
Whether the voting-rights notification signals a strategic investor positioning for a recovery or merely reflects a technical compliance filing remains unclear. What is evident is that Evotec must demonstrate tangible operational progress before investor confidence can be rebuilt — and with the stock trading where it is, the patience of the market is wearing thin.
