Evonik's 60% Run Leaves Little Room for Error Ahead of November 3 Print

Evonik's stock is trading within a whisker of its 52-week peak, and the reason has less to do with the specialty chemicals maker's day-to-day business than with a would-be suitor from Ludwigshafen. The shares closed Friday at EUR 21.42, just below the EUR 21.62 high-water mark for the year, capping a year-to-date advance of 60%. That rally has been fuelled almost entirely by speculation that BASF could return with a bid for the Essen-based group — a courtship Evonik has so far rebuffed.

The numbers behind that refusal are now coming into sharper focus. According to Reuters, an earlier approach valued Evonik at roughly EUR 22.15 per share, a level management judged insufficient. Evonik has also stressed that no formal negotiations are currently underway, even as the market continues to price in a meaningful takeover premium.

Analysts Recalibrate as a Valuation Floor Takes Shape

The prospect of a renewed approach has prompted a wave of target-price revisions. Berenberg upgraded the stock from "Sell" to "Hold" on October 5, lifting its price target to EUR 20.00. Analyst Sebastian Bray attributed the move to the valuation support that BASF's interest has injected beneath the shares. A day later, Parmantier & Cie attached a "Hold" rating with a EUR 20.50 target as part of a sector-wide study.

The revisions stretch back further. On September 28, DZ Bank's Peter Spengler raised his fair value estimate from EUR 21 to EUR 22 while keeping a "Buy" recommendation, pointing to the takeover narrative as the primary catalyst for additional upside. Taken together, the analyst community appears to be converging on the view that BASF's interest has put a floor under the stock — though at levels that already capture much of a potential bid premium.

Düsseldorf Enters the Fray

While the capital markets digest the bid arithmetic, the political dimension has shifted to North Rhine-Westphalia. Lawmakers from the opposition SPD in the state parliament proposed on Wednesday that the state examine taking a stake in Evonik, with the aim of having the state and the RAG Foundation jointly hold more than 50% plus X of the shares to fend off an unsolicited takeover. The initiative now heads to the parliamentary floor for debate.

The push reflects broader unease about the company's ownership structure. Michael Vassiliadis, head of the IG BCE union, raised questions in an internal letter to works councils about whether a sale of shares would be compatible with the foundation's objectives. The RAG Foundation's board of trustees was briefed roughly a week ago but stopped short of any decision on an offer, leaving the talks in the hands of both companies' management boards for now.

Lab Bench Progress Offers a Counterweight

Away from the ownership debate, Evonik continues to advance its pipeline. On Monday, the group made laboratory quantities of a newly developed biodegradable polymer platform available to selected partners, intended as a basis for future excipients in oral drug delivery. Two days later, the company picked up an award at the CPHI Pharma Awards in the digital transformation category for its automated laboratory applications.

Those operational developments will face their first real test in a matter of weeks. Evonik publishes its third-quarter interim report on November 3, giving investors fresh fundamental data against which to judge the recent share-price advance. Until then, the political signals emanating from Düsseldorf and the manoeuvring of the major shareholders look set to dictate the tempo of trading.
