Evernorth Clears Final Hurdle for Nasdaq Debut as XRP Ledger Extends Its Reach Into Brazil

A shareholder vote on September 30 has pushed XRP closer to a Wall Street listing, with Armada Acquisition Corp. II investors overwhelmingly backing a merger with Evernorth Holdings. Roughly 20.5 million votes were cast in favor against 1.4 million opposed, clearing the way for the deal to close on October 7, subject to remaining conditions.
If that timetable holds, Evernorth shares will begin regular trading on the Nasdaq on October 8 under the ticker XRPN. The SEC declared the registration effective on August 27. For market participants, the structure offers pure equity exposure to a listed company rather than direct ownership of the underlying tokens.
At closing, Evernorth expects to hold a treasury of about 473 million XRP. Gross proceeds before costs are estimated at roughly $300 million, split between $225 million from private placements, $30 million from convertible notes and around $48 million drawn from the SPAC's trust account.
A Treasury Built to Work, Not Just to Sit
Rather than treating its holdings as a passive balance-sheet item, Evernorth intends to deploy them actively across the XRP Ledger ecosystem. The playbook includes liquidity provision, lending and arbitrage strategies, with the stated aim of steadily raising the number of tokens held per share.

Backers of the transaction include Ripple, Pantera Capital, the SBI Group and Kraken. The vehicle slots into a broader push to give institutional investors access to XRP yield strategies through conventional brokerage accounts. Brazil Taps the Ledger for Fund Records
Infrastructure adoption is advancing on a separate track. Brazilian financial market infrastructure firm CSD BR is reportedly using the XRP Ledger as an additional recording and audit layer for Brazilian financial assets, starting with shares in investment funds managed by major lender BTG Pactual. The arrangement puts the ledger directly to work in representing and verifying regulated capital market products.
For XRP itself, that development widens practical utility beyond plain payment transfers. Wiring institutional fund structures into a decentralized register is intended to make settlement processes more reliably documented and to simplify audit steps.
Validators Line Up Behind BatchV1_1
On the technical side, the network is closing in on a system adjustment. The BatchV1_1 upgrade, which allows up to eight transactions to be bundled together, has regained the support of 30 of the 35 verified validators after an earlier delay.
Should that approval level hold, October 9, 2026 is the earliest possible date for final activation on the mainnet. The feature is designed so that batched transfers either succeed as a group or are rejected together.

ETF Inflows and a Fresh Unlock
Institutional flows continue to shape the backdrop. Net inflows into U.S. spot XRP ETFs totaled $121.4 million in September, with net assets under management across those funds standing at $1.69 billion as of September 29. Ripple, meanwhile, released 1 billion XRP from escrow accounts on Thursday across four transactions as part of its monthly schedule.
Price action has been muted through it all. XRP added 0.4% on the day to trade at $1.49, holding within its recent consolidation range while sitting 7.5% above its 50-day average of $1.39. The real test of how the Evernorth listing affects market liquidity will come once trading begins on October 8.
