European Lithium Wins Court Approval for Critical Metals Takeover — With a Qualified Fairness Caveat

European Lithium has secured the last major regulatory green light for its absorption by Critical Metals Corp., after the Supreme Court of Western Australia approved the scheme despite an independent expert's finding that the share exchange is "not fair." The ruling removes a legal obstacle to the transaction, though it stops well short of an unqualified endorsement of the economics on offer.

The expert drew a distinction between the two linked schemes that make up the deal. The share swap was judged not fair but reasonable, while the plan covering listed options was rated both fair and reasonable. The caveat therefore applies specifically to the equity leg, not to every component of the transaction.

What tipped the scales

Several factors carried weight in the court's reasoning beyond the expert's assessment. No superior proposal had emerged, and Australia's securities regulator ASIC raised no objection. The court identified neither oppression of minority holders nor material procedural defects.

Investor backing was emphatic. At Thursday's vote, 99.96% of ballots cast on the share plan were in favour, and the options plan passed unanimously. That groundswell sits alongside the expert's qualified verdict — it does not erase the caveat.

Should investors sell immediately? Or is it worth buying European Lithium?

Shareholders become Critical Metals investors

Consideration for shareholders consists predominantly of Critical Metals stock, at a fixed exchange ratio of 0.045 CRML shares for each European Lithium share. Once implemented, European Lithium will become a subsidiary of Critical Metals and lose its listing.

For existing holders, the question is not simply the closing of a takeover process. Their stake is set to continue through shares in the acquirer — and the court's approval and the economic merits of that consideration are separate matters. The published ratio refers expressly to the shares; option holders are treated under a separate arrangement, with the company having flagged an announcement on that consideration around 28 October.

The remaining timetable

European Lithium intends to lodge the court orders with ASIC on 27 October, bringing the schemes into effect. Trading in shares and listed options on the ASX is due to be suspended at the close of trading that day.

The schedule beyond that remains indicative. The record date for entitlements is targeted at 29 October, with implementation — including issuance of the consideration — slated for 5 November. Delisting from the ASX and the start of trading in the new CRML shares on NASDAQ are both expected on 6 November.

Koralm runs on its own clock

Separately from the transaction mechanics, the Koralm project's commercial path remains unresolved. According to media reports dated 3 October, commercial lithium production there was still years away, and the environmental impact assessment question was still occupying Austria's administrative court.

The offtake side has also shifted. Citing European Lithium's annual report for the 2025/26 financial year, reports indicated that the offtake agreement with BMW has been terminated and its prepayment refunded.

Those developments bear on the project's prospects, not on the voting mechanics of the takeover. The distinction matters for investors: the agreed share consideration describes the planned transfer of their holding. It answers neither the permitting question at Koralm nor the question of when commercial production might begin. Progress on the merger should not be read as a resolution of either.
