European Lithium Shareholders Get October 22 Date With the Ballot Box

With a binding agreement in place since May 18, 2026 — covering the acquisition of 100 percent of issued share capital and all listed options through an all-stock exchange — the deal now rests on a single day of shareholder votes in Western Australia.
The stock closed Thursday at EUR 0.2550, capping a run that has added 22.9 percent since the first court hearing roughly two weeks ago. The scheme booklet has already been registered with the Australian Securities and Investments Commission (ASIC), giving the process its formal footing.
Three Meetings, One Morning
October 22, 2026 is the date that matters. On that Thursday, three consecutive gatherings will be held in Western Australia, beginning at 10:00 AWST with the European Lithium general meeting. Half an hour later, the Share Scheme Meeting takes up the merger itself. At 11:00 AWST, or immediately after the shareholder session wraps, option holders get their say at the Option Scheme Meeting. The staggered format is designed to let each holder group vote separately and in an orderly fashion.
What the Exchange Actually Delivers
The economics come down to a single ratio. Media reports put the transaction's total volume at $835 million, and on completion, existing European Lithium holders would receive a calculated 41 percent stake in the combined group. That figure is the yardstick for every investment decision from here. Because no cash component is on the table, shareholders are swapping direct ownership of a single resource company for a minority position in a broader group — and their returns will depend entirely on how the merged entity performs in the market.
Should investors sell immediately? Or is it worth buying European Lithium?
The industrial case for the combination rests on pairing two flagship assets under one roof: Tanbreez, the rare earths project in Greenland contributed by Critical Metals, and Wolfsberg, the Austrian lithium project that has been European Lithium's core. Supporters argue this diversifies exposure across strategic raw materials and reduces reliance on the fortunes of any single site. If both developments advance in parallel, the combined company could carry more weight when negotiating project financing — the kind of leverage that might eventually push the share back toward its 52-week high of EUR 0.3055.
The Other Side of the Ledger
None of this is guaranteed. Completion hinges on the required majority of security holders approving at the convened meetings, followed by final court sign-off and satisfaction or valid waiver of all remaining conditions. A failed vote would erase the $835 million valuation basis and leave European Lithium to push Wolfsberg forward on its own. Even a successful ballot doesn't close the door — the court retains final review, and further conditions must still be met.
There's also the Greenland exposure to consider. Taking stock rather than cash means existing holders will now share in the operational and financial fortunes of Tanbreez. Unexpected delays or cost overruns there would weigh on the value of that 41 percent stake.
The Calendar Between Now and November
Voting materials were scheduled to go out around September 22, 2026, after which attention turns to the courts. Assuming the requisite security holder approvals are in hand, the second hearing before the Supreme Court of Western Australia is set for October 26, 2026. Only after that date can final judicial clearance be granted. If the process runs without delay, the transaction is slated for full completion in November 2026.
Year to date, the stock is up 181 percent and trades 17 percent below its 52-week high. Whether European Lithium survives as a standalone company or disappears into the new combination will be settled by the votes cast on October 22.
