European Lithium has closed the books on what is expected to be its last quarter as an independent ASX-listed company, reporting a cash position of $296.5 million at the end of the reporting period. The quarterly report, covering the stretch through 30 September 2026, lands just as the company's takeover by Critical Metals Corp. moves from legal formality into physical delivery of new shares.

The cash figure is a snapshot taken before the scheme's implementation, not after. That timing matters for anyone trying to read the balance sheet as a guide to what shareholders will actually hold once the transition is complete.

A Project Portfolio With Three Separate Storylines

Operationally, the quarter delivered a mix of milestones that resist being lumped together as a single narrative of progress. In Greenland, the mining and closure plans for Tanbreez were approved — a concrete permitting step for that asset. At Leinster in Ireland, mapping and sampling work has wrapped up. In Ukraine, meanwhile, legal proceedings are underway to protect rights over the Dobra deposit.

Those are three distinct situations: a green light in one jurisdiction, completed fieldwork in another, and an ongoing rights defence in a third. Alongside them, Critical Metals reported having finished 52 diamond drill holes at Tanbreez.

Should investors sell immediately? Or is it worth buying European Lithium?

Where the Takeover Stands

The legal machinery behind the change of listing is now fully engaged. European Lithium lodged the court orders with ASIC on Tuesday, making the share and listed-option takeover agreements legally effective. Critical Metals Corp. then had trading in both security classes suspended on the ASX.

Implementation is scheduled for 5 November. Eligible shareholders are set to receive 0.045 new Critical Metals shares for each European Lithium share they hold. Trading in those new shares on the Nasdaq is expected to kick off on 6 November, with European Lithium's removal from the official ASX list anticipated the same day.

Optionholders are treated under a separate ratio: 0.0353158621 new Critical Metals shares per option. The two exchange ratios are explicitly different, and in both cases the consideration comes in stock rather than cash — there is no fixed monetary payout under the terms as stated.

Reading the Calendar Correctly

For investors, the sequence of dates deserves careful attention, because the steps are not interchangeable. Legal effectiveness does not mean the new shares have been delivered. A trading halt is not the same thing as delisting. Between those markers sits a transitional window in which the old listing is frozen but the new one has yet to open.

What investors hold on the other side of that window is a stake in Critical Metals — which is why the acquirer's own operational disclosures, including the Tanbreez drilling and the Greenland approvals, now carry direct relevance for European Lithium's former shareholder base.

The next hard date on the schedule remains implementation on 5 November, with the Nasdaq debut expected to follow the day after. Until then, the quarterly report stands as the company's final standalone account of its cash and its projects.
