European Lithium Investors Weigh a Merger Where the Payout Depends on Where Critical Metals Trades

European Lithium holders would own about 41% of an enlarged Critical Metals group under a US$835 million all-scrip offer; vote set for 22 October 2026.

European Lithium's minority owners are being asked to trade a direct stake in an Austrian lithium project for a slice of a US-listed mining group — and the size of that slice will not be settled until the deal closes.

At the heart of the transaction is Critical Metals Corp's all-scrip offer for every European Lithium share and listed option, a package that values the equity alone at US$835 million. Should it complete, existing European Lithium holders would emerge with roughly 41% of the enlarged group, with both companies' exploration and mining assets folded under the Critical Metals banner. On European trading venues, the target's market capitalisation stands at about EUR 413.37 million.

A Swap Ratio That Moves With the Market

Rather than fixing a single conversion figure, the parties agreed to a variable exchange ratio: each European Lithium share converts into between 0.025 and 0.045 Critical Metals shares. A collar built on the volume-weighted average price pins the reference range at US$8.00 on the low end and US$16.00 on the high end, cushioning both sides against sharp swings before completion.

Ancillary terms smooth the mechanics for smaller holders. Investors holding no more than 50,000 securities get access to a dedicated sale facility that returns proceeds in cash, and settlement shifts away from CHESS Depositary Interests in favour of direct share issuance.

Should investors sell immediately? Or is it worth buying European Lithium?

The Expert's Split Verdict

An independent expert handed down a nuanced assessment. For the ordinary shares, the offer was labelled "not fair, but reasonable" — and, crucially, in the best interests of shareholders. Option holders fared better on paper, with their portion of the offer judged both fair and reasonable. On the strength of that opinion, the Independent Board Committee threw its weight behind the deal and urged investors to accept.

Court, Regulator and the Road to a Vote

The path to a ballot box is now largely cleared. The Supreme Court of Western Australia has directed European Lithium to convene separate meetings for shareholders and option holders, after the Australian Securities and Investments Commission registered the scheme booklet. That document was due to reach eligible voters around 22 September 2026.

The vote itself is scheduled for 22 October 2026 in West Leederville, Western Australia. Completion remains conditional on a majority of security holders approving the scheme, final court confirmation, and the satisfaction or waiver of other outstanding conditions. Barring delays in the two-stage process, the tie-up is expected to be implemented in November.

Shareholders Look Past Sector Strains

The deal is being tracked against a difficult funding climate. Reuters reported on 8 September that project developers hand-picked by the European Union had warned of serious liquidity shortages, obstacles that could stall plans to build an independent supply chain for battery raw materials and critical minerals and to cut strategic reliance on China. European Lithium's own Wolfsberg lithium project in Austria sits squarely in that landscape, leaving the company facing hard questions about how it will bankroll future development.

For now, the market is rewarding the proposed overhaul of the ownership structure. The stock finished Friday's session at EUR 0.2265, a gain of 150% since the start of the year — a run that stands out even as warnings over financing gaps echo across the continent's raw materials sector. How investors cast their ballots in October will determine whether that optimism carries through to completion.
