European Lithium Gears Up for Critical Metals Vote With Exchange Ratio Due October 21
Published on 10/20/2026 at 13:02 | Editorial boerse-global.deEuropean Lithium is lining up the final pieces of its proposed takeover by Critical Metals Corp., with the calculation window for the variable exchange ratio having closed on Tuesday. The resulting figure — the Share Scheme Transaction Ratio — will be published on October 21 at 9:00 a.m. AWST on the Australian Securities Exchange, handing shareholders the arithmetic basis on which the tie-up will be settled.
The announcement lands just a day before security holders cast their votes. Shareholders and option holders will meet separately on October 22 to decide on the scheme arrangements, a ballot that stands as a key precondition for Critical Metals Corp. to complete the acquisition. Judicial sign-off follows: the Supreme Court of Western Australia will hear the applications to approve both the share and option schemes on October 26 from 10:00 a.m. AWST.
Only once investors have given their backing and the court has issued a positive order can the transaction be formally closed. Until then, the deal remains conditional, and the merger's fate rests on those two gates.
Should investors sell immediately? Or is it worth buying European Lithium?
Buy-Back Wrapped Up as New Shares Seek Quotation
Alongside the merger groundwork, European Lithium has been reshaping its capital base. The miner lodged its final notification on its completed share buy-back programme — the standard Appendix 3F form — with the ASX on Friday. It also filed an application on October 12 to list 650,000 newly issued ordinary shares.
Koralm Project Still Years From Production
Corporate housekeeping aside, the company's lithium ambitions in Austria face a longer road. Austrian news agency APA reported that commercial mining at the Koralm project remains years away. The environmental impact assessment is still awaiting a ruling from Austria's Administrative Court, and the operating and mining permits required for the planned operation have yet to be granted.
That combination — an organisational overhaul running in parallel with slow-moving regulatory approvals — defines the company's current position. Market participants are watching both the merger process and the outstanding hurdles at the Austrian site.
Shares Hold Steady Ahead of Key Dates
Trading has been muted in the run-up to the announcements. European Lithium's stock stood at EUR 0.2295 on Tuesday, down 0.9% on the day. The longer-term picture is far livelier: since the start of the year the shares have gained 153%. According to media reports, the timetable for merger approval is the clearest near-term driver of the recent price action, though it cannot by itself be pinned down as the sole cause of past market moves. Whether the rally survives the coming votes and the court hearing will hinge largely on investor support and the outcome of the judicial proceedings.
