European Lithium shares have stopped trading on the Frankfurt Stock Exchange, with Deutsche Börse listing the stock (ISIN AU000000EUR7) as an instrument with its last trading day on Wednesday. For German investors, attention now shifts to settling existing positions — a process that runs on a separate track from the planned issuance of new Critical Metals shares.

Trading in European Lithium stock was also halted on the ASX, effective from the close on Tuesday, after the court-supervised takeover proceedings became legally effective. The two venues are thus winding down the old listing at the same time, but the corporate steps that follow are distinct.

Two clocks, not one

The transaction conditions for the takeover by Critical Metals were satisfied roughly two weeks ago. The agreements cover all European Lithium shares as well as the listed options, though the consideration differs depending on what an investor holds. The last trading day therefore does not mark the completion of every settlement step. Implementation of the transaction and the expected start of trading in the new shares are separate milestones on the published timetable.

Shareholders are set to receive a fixed exchange ratio of 0.045 Critical Metals shares for each European Lithium share — a stock-for-stock consideration, not a general cash payout to existing holders.

Should investors sell immediately? Or is it worth buying European Lithium?

Option holders face a different arrangement. According to company statements, their consideration amounts to 0.0353158621 new Critical Metals shares per option. Those holding no more than 991 options will instead receive their pro-rata net proceeds from the sale of the shares to which they would otherwise be entitled. That cash mechanism applies only to the designated small option positions; it does not describe the consideration for ordinary European Lithium shares, and the calculated share entitlement per option differs from the ratio offered to shareholders.

Greenland progress sits alongside the paperwork

Separately from the corporate action, European Lithium has reported operational advances at Tanbreez. Greenland approved the project's mining plan and closure plan, and the 2026 drilling campaign has been completed with 52 diamond drill holes totalling 8,385 metres. These project-level disclosures describe the development of Tanbreez; they do not alter the allocation rules governing the takeover.

At the close of the quarter ended 30 September 2026, European Lithium reported a cash balance of $296.5 million. That liquidity figure reflects the company's financial position and should not be conflated with the consideration due to individual shareholders, which is governed by the agreed exchange ratio.

European Lithium at a turning point? This analysis reveals what investors need to know now.

What happens next

Filing of the court orders with ASIC made the agreements legally effective. Implementation is scheduled for 5 November 2026, and European Lithium's removal from the ASX is expected on 6 November 2026. Critical Metals has said the newly issued shares are expected to begin trading on the Nasdaq on 6 November.

The sequence for investors is therefore clear: legal effectiveness has been achieved, while implementation and the anticipated delisting remain the key dates. The Frankfurt close and the ASX halt do not pre-empt those steps — and the Tanbreez news provides the operational backdrop without substituting for a close reading of the allocation rules that apply to each holding.
