Diginex Shareholders Hand Resulticks Deal a Mandate — Not a Completion
Published on 10/15/2026 at 14:11 | Editorial boerse-global.deDiginex has cleared one gate on the road to its acquisition of Resulticks, and only one. Investors who read the lopsided shareholder vote as the deal's finish line are conflating permission with execution — a distinction that matters more here than the headline number suggests.
Roughly 98.8% of votes cast backed the transaction, according to Diginex, authorizing the issuance of 600,000,000 new Diginex shares to Resulticks' sellers. The same package included approval of a 10:1 reverse stock split. Those are two separate measures serving two separate functions: the new stock is earmarked for the Resulticks side, while the consolidation is a standalone structural change that was voted through on its own footing.
Media reports place the deal's value at USD 1.05 billion. That figure describes a transaction still in conditional territory, not a completed capital measure — the share issuance in particular should not be mistaken for something already carried out.
What the Vote Does and Doesn't Settle
The scale of the approval answers a narrow question: whether voting shareholders want this deal. It does not answer whether every precondition for the combined company will be met. Among the items still outstanding is Nasdaq's sign-off on the listing application for the merged entity, alongside other closing conditions that remain to be satisfied.
Should investors sell immediately? Or is it worth buying Diginex?
Diginex has set October 30 as the target deadline for completion — October 30, 2026, by the company's own framing. Either way, the date functions as a boundary on the process, not a guarantee of it. That is precisely where a resolved plan stops and a finished acquisition begins.
The Lender Question Hangs Over Completion
Complicating the picture is Resulticks' financing position, which Diginex disclosed a little over a week ago. The figures: roughly USD 31.8 million in outstanding principal under one credit facility, plus about USD 21.0 million across other facilities. Diginex stated at the time that it was neither a party to nor a guarantor of these arrangements — meaning those amounts should not be read as Diginex's own debt obligations.
The legal distance does not erase the practical one. Completion of the acquisition requires, among other things, the consent of a lender. Resulticks' borrowing situation is therefore live to the closing process even though Diginex held no contractual or guarantee position in it at the time of disclosure.

Reading Yesterday's Tape
Diginex shares moved -4.9% on the day. No link between that decline and the acquisition has been established. The drop offers neither confirmation that the deal is on track nor evidence that it is coming apart — it simply is not data about the transaction's prospects.
For anyone sizing up the Diginex equity story, the next satisfied closing condition carries more weight than another look at the vote tally. The ballot removed a hurdle. Whether the combined company actually comes into being turns on the conditions still open. That framing is less dramatic than a success narrative, but it is considerably more precise.
