Diginex has won the vote it needed for its planned acquisition of Resulticks Global Companies Pte. Ltd. — and that is precisely where the straightforward part of the story ends. The resolutions announced yesterday tie together a large share issuance, a contingent reverse split and an increase in authorized capital. Taken as a package, they clear a path to a transaction without settling whether that transaction makes economic sense.

What shareholders actually approved

Investors gave the green light to the issuance of 600,000,000 Diginex shares to the sellers of Resulticks, covering the purchase of 100% of the target's equity. Alongside that, they backed a contingent 10:1 reverse split and a raise in authorized capital.

These measures deserve to be read together rather than in isolation. The share issuance speaks to the ownership structure of the combined company after the takeover. The reverse split, by contrast, merely changes the denomination of the stock. A different share count is not, on its own, evidence of greater economic value — treating it as a positive signal confuses capital engineering with a verdict on the business.

What matters, then, is not the size of the approved package. It is whether execution of the takeover generates convincing value in return for the newly issued stock. The shareholder vote does not answer that question; it removes an obstacle on the road to the deal.

Financing disclosures come with a caveat

The financing details around Resulticks add weight to that caution. Diginex stated explicitly that it has not independently verified those figures — a material reservation when assessing the overall package. It justifies neither blanket suspicion nor uncritical acceptance of the numbers as a solid valuation basis.

Should investors sell immediately? Or is it worth buying Diginex?

On 7 October, Diginex disclosed Resulticks' financing obligations. Under the Ascertis facility, with a total volume of US$40.0 million, roughly US$31.8 million of principal was outstanding. For the Anicut facilities, the outstanding amount came to about US$21.0 million.

That attribution is significant: Diginex expressly assigned these liabilities to Resulticks, so they should not be casually portrayed as existing Diginex debt. Even so, they belong in the full picture when valuing the planned acquisition. Buying equity and financing the acquired business cannot sensibly be assessed in isolation from one another.

Approval is not proof of economic merit

About 98.8% of the votes represented at the extraordinary general meeting went in favor of the transaction. That documents clear support among the shares present — and little more should be read into it. A broad majority is a distinct shareholder mandate, but it says nothing about whether every precondition for closing has been satisfied.

Lender consent ranks among the conditions for the planned completion. Nasdaq approval for the listing of the combined company, along with other required consents, remains outstanding as well. A clear gap therefore separates an approved plan from a completed acquisition.

The agreed long-stop date is 30 October 2026. That is a contractual deadline, not a confirmed closing day; its value lies in framing the timeline for the remaining process.

For Diginex, a clean distinction is in order. Shareholders have endorsed the package; execution stays bound to conditions. The next credible step forward would be the satisfaction of those conditions. Until then, the stock tells a story about ownership structure and financing — not about a merger already done.
