Diginex has cleared its biggest internal hurdle on the road to acquiring Resulticks, yet the transaction remains a promise rather than a completed purchase. Shareholders delivered an overwhelming mandate, the financing structure has been laid out in a regulatory filing, and management has circled a target date. What has not happened is the closing itself — and the gap between approval and completion is where investors should focus.

A 98.8% Mandate — and What It Doesn't Cover

At an extraordinary general meeting held roughly a week ago, shareholders approved every resolution tied to the planned takeover. According to Diginex, about 98.8% of the votes cast at the meeting backed the acquisition. That figure reflects the ballots actually submitted at the gathering and should not be read as 98.8% of the entire shareholder base.

The distinction matters. The vote establishes consent at the shareholder level, but it does not substitute for the regulatory clearance and other conditions that must still be satisfied. A strong tally at the ballot box, in other words, is not a guarantee of completion.

Bundled into the approved package was the issuance of 600,000,000 new Diginex shares to the sellers of Resulticks, earmarked as consideration for the deal. Shareholders also signed off on a 10:1 stock split. The resolutions therefore cover not just the acquisition itself but the mechanics of paying for it in Diginex equity. The company's regulatory disclosure additionally confirmed approval of the change-of-control provision.

Should investors sell immediately? Or is it worth buying Diginex?

Two Dates That Should Not Be Merged

Running alongside the acquisition is a separate contractual obligation. Per an earlier Diginex announcement, Resulticks is due to settle the outstanding balance of a financing repayment to Diginex on October 28. That is a scheduled payment date — not confirmation that money has changed hands.

The targeted closing of the takeover, meanwhile, is set for October 30. That, too, describes an objective rather than a finished acquisition. A payment owed to the buyer and the satisfaction of every closing condition answer different questions, and the proximity of the two dates does not make them a single event. Announcement of one step provides no confirmation of the other.

The Financing Behind the Deal

Diginex disclosed the details of Resulticks' financing about a week ago. An Ascertis credit facility carried a total commitment of US$40.0 million, of which roughly US$31.8 million in principal was outstanding. Facilities arranged by Grand Anicut had about US$21.0 million outstanding.

Those figures come from a mandatory disclosure, and Diginex noted that it has not independently verified the information concerning Resulticks. The acquisition also requires, among other things, the consent of the lenders. The financing structure is thus not mere background — it forms part of the conditions that must be met before the deal can close.

Diginex at a turning point? This analysis reveals what investors need to know now.

What the October 30 Target Actually Means

Completion still hinges on the agreed conditions being fulfilled. Diginex explicitly names Nasdaq approval of the combined company, and additional closing conditions remain in place as well.

The October 30 date offers a timing reference point; the conditions represent the legal caveat. The two belong together. For investors, the decisive next piece of evidence is a closing notice — or confirmation that the prerequisites have been satisfied. Until then, the Resulticks transaction is a shareholder-endorsed but still conditional takeover, and Diginex should be measured against the obligations it has yet to fulfill rather than the clarity of its shareholder vote alone.
