Diginex's Resulticks Deal: A Closing Date, Two Lenders, and One Vote That Isn't Enough

Diginex investors holding out for the Resulticks acquisition have a single date circled: 30 October. That is the latest scheduled completion, though the parties can push it back by mutual agreement. What the calendar does not settle is whether the deal actually closes — and a 6.2% gain in the shares yesterday did nothing to resolve that question.

The distinction that matters is between an approved plan and a completed transaction. Shareholders gave their blessing roughly two weeks ago. Several conditions still stand between that vote and a signed-off deal.

What the vote did — and did not — deliver

At the extraordinary general meeting, about 98.8% of the votes represented went in favour of acquiring Resulticks Global Companies. The same ballot approved the issue of 600,000,000 new Diginex ordinary shares to the sellers, alongside a 10:1 reverse stock split. A change of control sits inside the package too.

Read that list carefully and the scope becomes clear: the resolution covers the share issuance as part of the takeover plan, not the takeover's execution. The 98.8% figure measures support among shareholders who showed up. It says nothing about the Nasdaq or the company's financing partners, and it does not substitute for their sign-off.

Should investors sell immediately? Or is it worth buying Diginex?

Two further hurdles remain. The combined company needs Nasdaq approval of its listing application, and the lenders behind Resulticks' existing facilities must consent. Until both arrive, the acquisition stays conditional.

The lending picture behind the paperwork

Financing is not mere background here. In an SEC filing about two weeks ago, Diginex disclosed the state of Resulticks' borrowings: roughly US$31.8 million of principal outstanding under the Ascertis facility, and around US$21.0 million under the Anicut facilities. The Ascertis commitment carries a total of US$40.0 million.

Those balances do not, on their own, signal any payment default. They do explain why lender consents and financing terms deserve more than a passing glance. Diginex also stated that it has not independently verified Resulticks' figures — a caveat about the reliability of the disclosed information, not a confirmation that it is wrong, and certainly not an audit.

Two paths from here

Complete the conditions and close on schedule, and the uncertainty surrounding this particular transaction lifts. That would mark genuine progress on the agreed corporate overhaul. It would not, however, prove the deal creates economic value — deal certainty and later value creation are separate yardsticks, and a timely closing guarantees no particular share price.

Existing holders should also weigh what completion does to their own position. The new shares carry dilution risk, and the reverse split stands apart from both the lender consents and the Nasdaq approval — it replaces neither.

Diginex at a turning point? This analysis reveals what investors need to know now.

Then there is the alternative. A mutually agreed extension would not mean the deal has failed; it would simply mean the October deadline slips, buying the parties more time while leaving the completion question open. Anyone positioned for 30 October would need to adjust the timeline underpinning their thesis.

The catalyst to watch is a confirmed closing announcement. Until the conditions are met, the takeover remains a conditional project, and the relevant question for investors is which scenario actually materialises — not how far the stock moved yesterday.
