Diginex's Resulticks Deal: A 30 October Deadline, US$52.8 Million in Lending, and a Vote That Settles Only One Question

Diginex shareholders have given the Resulticks acquisition a resounding green light. What they have not done is complete it. With roughly 98.8% of votes cast at the extraordinary general meeting backing the proposals, the ballot box is no longer the obstacle — the closing checklist is.

That distinction matters more than the headline number. The approved resolutions cover the issuance of 600,000,000 Diginex shares to the Resulticks sellers, subject to the adjustments set out in the agreement, alongside a conditional 10-to-1 share consolidation and the change of control that the combination would bring. The results were filed with the SEC.

Two of those items are routinely lumped together and should not be. The share issuance is the consideration paid for the target; the consolidation is a separate resolution with its own mechanical function. Approving both says nothing in itself about whether the economics of the package stack up for existing holders. A vote delivers consent to a transaction — it does not appraise the price.

Lenders Hold a Key the Ballot Cannot Turn

The financing disclosures published roughly two weeks ago belong in the same assessment. Diginex put the outstanding capital under the Ascertis facility at about US$31.8 million against a total commitment of US$40.0 million, with around US$21.0 million drawn under the Anicut facilities — US$52.8 million in total.

Should investors sell immediately? Or is it worth buying Diginex?

Treating those sums as existing Diginex liabilities would be a mistake. The company stated explicitly that it is not currently a party to these financings and has provided neither guarantees nor collateral for them. That boundary deserves to survive any critical reading of the deal.

Equally, the facilities are no sideshow. Completion depends in part on lender consents, which means the arrangements shape not only Resulticks' financial starting point but the conditions attached to the transaction itself. Legal obligation and relevance to closing are separate questions, and only one of them is settled.

What Still Stands Between Approval and Completion

Beyond the creditor sign-offs, the deal hinges on Nasdaq approval of the listing application for the combined entity and on further closing conditions. Diginex is targeting completion on 30 October — a date to aim at, not a confirmed finish line. The strongest evidence of progress would be announcements that conditions have been satisfied or that the acquisition has actually closed.

Until then, the transaction remains conditional. Clear the hurdles and attention shifts to the new ownership structure and what it is worth; fail to secure a required consent and the timetable itself comes into question. That is the fork investors actually face.

A 10% Move Is Not a Verdict

The stock climbed 10% yesterday. Reading that as confirmation of the deal's terms, or as a signal that closing is in the bag, asks too much of a single session's trading. There is no necessary link between a share price advance and an economic judgment on the acquisition, and no specific cause for the move should be manufactured from it.

A more sober frame is the interplay of three things: the consideration being issued, the financings attached to the target, and the conditions still outstanding. Shareholder approval clears the first layer of uncertainty and leaves the rest untouched. That is not an argument against the Resulticks deal — it is an argument against treating it as done.
