The Price of Resulticks

The groundwork for the transaction was laid more than a month ago, when Diginex and Resulticks revised their agreement. Under the terms now on the table, Diginex would issue 600 million new shares as consideration, valued at USD 1.75 apiece. The company has also locked in commitments for USD 70 million in private financing to back the deal.

Diginex filed roughly a month ago to list the new shares tied to the impending change of control. Management is targeting completion of the takeover by October 30, 2026. Alongside the deal, the company disclosed a leadership transition: CEO Lubomila Jordanova is stepping down from her post.

The corporate overhaul extends to Diginex's internal organization. On Thursday the company unveiled a new unit designed to speed up product innovation, consolidating specialist expertise built up through its acquisitions of Plan A, Matter and The Remedy Project. That reorganization runs in parallel with the structural changes, leaving shareholders to weigh faster product development and secured financing against the risks of a far-reaching change of control.

A Balance Sheet Under Pressure

The urgency behind the transformation shows up in the fiscal year that ran through March 31, 2026. Revenue climbed to USD 3.6 million, but the net loss widened to USD 31.1 million. At the reporting date, Diginex carried no debt and held USD 4.9 million in cash.

Markets have greeted the program with restraint. The stock closed Friday at USD 1.35, down 3.6 percent on the day, leaving a market capitalization of roughly EUR 37.52 million.

For current shareholders, the package amounts to a fundamental shift in ownership. The reverse split reconfigures their holdings on paper, while the massive share issuance brings substantial dilution.
