Diginex has secured the shareholder mandate it needed for its proposed acquisition of Resulticks. Roughly 98.8% of votes cast at the meeting backed the resolutions put forward — a lopsided endorsement that gives the transaction a firm legal footing. What that approval does not do is settle the question of whether the combination will ultimately create value.

The package shareholders waved through is broad. It authorizes 600 million new Diginex common shares to be issued as consideration to Resulticks' stockholders, an increase in authorized share capital, a change of control, and amended governing documents. A conditional 10:1 reverse stock split is folded into the same arrangement, though it serves a different purpose than the share issuance itself.

That distinction matters more than the headline vote count. The new shares are the currency funding the takeover; the reverse split merely reshapes the share count. Until Diginex says otherwise, the stock continues trading without any consolidation, and the split only takes effect once the transaction closes. Investors weighing the 600 million figure should therefore read it alongside the planned adjustment rather than in isolation.

Paper, Not Cash

Because the consideration is paid in equity rather than a stated cash price, the deal quietly redraws Diginex's ownership map. Existing holders are not simply watching an add-on purchase — they are absorbing a fundamental restructuring in which Resulticks' sellers become significant Diginex shareholders. That is the trade-off buried beneath the impressive approval margin.

Should investors sell immediately? Or is it worth buying Diginex?

On the operating side, Diginex points to Resulticks' reported revenue of US$150 million for fiscal 2025 as the economic anchor of the deal. The figure describes the target's business. It is not a Diginex revenue disclosure, nor a forecast for the combined company, and revenue alone says nothing definitive about whether the price paid is cheap or dear.

Leadership is set to change hands as well. Resulticks CEO Redickaa Subrammanian is slated to head the combined company, while Miles Pelham is expected to step down as Chairman. Along with the planned change of control, the reshuffle signals how far-reaching the merger would be for Diginex — a top-to-bottom reset rather than a bolt-on acquisition.

Conditions Still Stand Between Approval and Completion

A green light from shareholders is one thing; a closed deal is another. Completion hinges on several outstanding items, most notably Nasdaq's approval of the combined company's initial listing application. Regulatory clearances, third-party consents, and financing conditions must also be satisfied. None of this is guaranteed.

Those caveats do not diminish what shareholders accomplished. They do cap how much the vote can be read into. Owners have approved the structure; the remaining prerequisites do not fall into place automatically. New leadership, the change of control, and the reverse split all remain tethered to closing — only once the open conditions are met does the approved blueprint become the company's actual structure.

For now, the sensible posture is caution rather than celebration. The 98.8% backing and Resulticks' US$150 million revenue point to a serious undertaking. The share-based consideration, the control shift, and the unresolved closing conditions call for a sober read. Diginex has won permission to rebuild itself. It has not yet proven that the rebuild will pay off.
