The equity changed hands at EUR 12.18 on Thursday, a gain of 2.6 percent, following a sharp pullback that had driven the price down 4.8 percent to EUR 11.60.
At the root of the turbulence is Monday's capital increase against cash contributions. Deutz placed new shares through an accelerated bookbuilding process at an issue price of EUR 11.70 apiece, raising roughly EUR 179 million in gross proceeds. The company issued up to 15,263,810 new shares, expanding its share capital by as much as 10 percent to a maximum of 167,901,915 no-par-value bearer shares. Existing shareholders were excluded from subscription rights, a move that left them unable to defend their proportional stakes.
The transaction drew on parts of Deutz's authorized capital. With the placement now closed, attention shifts from the allocation itself to how the market absorbs the enlarged share count — and whether the EUR 11.70 level can serve as a durable floor once the new stock begins trading on Friday.
A Valuation Test After the Cash Infusion
For investors, the capital measure lands at a delicate moment. The additional supply dilutes existing holdings, and the stock has already dipped below the placement price at one point, signaling that institutional buyers have yet to fully digest their allocations. Selling pressure that emerged during Monday's session persisted into midweek, according to media reports.
The broader context is a company in the midst of a sweeping overhaul. Deutz announced the acquisition of FFG Flensburger Fahrzeugbau more than a month ago, a deal that gave the shares considerable lift at the time. That was followed roughly a week ago by a strategic cooperation with Kirloskar Oil Engines. The capital raise is intended to bankroll this transformation, with media reports describing a re-rating of Deutz as a defense-led systems integrator. The financing of that pivot was already the central theme at the extraordinary general meeting on August 24.

If Deutz can strengthen operating profitability across both segments, the shares could resume their advance — and a fresh run at the 52-week high of EUR 13.39 would come back into view.

The chief danger is a wave of selling when the new shares start trading on Friday. If short-term players subscribed mainly to capture the discount, profit-taking above the allocation price could weigh heavily on the quote. A slide back below EUR 11.70 would darken the technical picture, triggering uncertainty and reinforcing the impression that the market is giving more weight to dilution than to medium-term earnings prospects.
The exclusion of subscription rights also dealt a blow to retail investors and existing holders, who had no way to preserve their relative ownership. Should the price fail to reclaim the placement level quickly, a persistent overhang could build. Institutions that were in purely for short-term arbitrage may be inclined to exit positions at a small loss, keeping sell orders stacked in the book for days.
Operational risks compound the picture. Expanding capacity in the defense sector demands substantial integration work. Delays or unexpected friction in executing the FFG integration could dampen margin development.

Only once that level is sustainably reclaimed will the overhang from Monday's capital increase be technically worked off. Until then, the market will be watching how firmly institutional holders keep the new stock in their portfolios — and how management translates the fresh capital into measurable growth.
