Deutz's Defence Pivot Passes Its Last Shareholder Test — Now the Market Wants Delivery

The extraordinary general meeting in Cologne was never going to be a nail-biter, but the scale of the mandate still raised eyebrows. Deutz shareholders approved the capital increase in kind to help fund the €1.6bn acquisition of defence supplier FFG with 99.7 percent backing — a level of unanimity that effectively hands management a blank cheque for the company's most consequential strategic shift in years.
The stock market has already rendered its verdict. Deutz closed Friday at €12.89, up 4.6 percent on the day, leaving the shares just 0.4 percent shy of their 52-week high of €12.94. The rally stretches back further than the shareholder vote: the stock has gained 24.1 percent since the half-year results landed just over three weeks ago, and 31.3 percent since a voting-rights notification on the shareholder structure was published in the same window.
A Family Stake That Changes the Calculus
What separates this transaction from the typical industrial roll-up is the ownership structure taking shape on the other side of the deal. The FFG owner families are set to become anchor shareholders in Deutz with up to 29.9 percent once the transaction completes — a far cry from a financial investor looking for a quick exit. Their decision to fold their own company into the group and remain tied to its fortunes suggests the integration will be taken seriously, not merely managed to a deadline.
The regulatory path has been equally smooth. The Bundeskartellamt cleared the merger ahead of the shareholder meeting, removing the most significant regulatory obstacle and triggering a notable jump in the share price, according to media reports. That clearance, rather than any older developments, also prompted Kepler Cheuvreux and Oddo BHF to update their assessments, with price targets of €16.00 and €16.40 respectively — levels that imply meaningful upside even after the recent run.
Should investors sell immediately? Or is it worth buying Deutz?
The Valuation Question Nobody Can Answer Yet
Deutz is now riding a sector-wide wave that has lifted German defence and industrial names for months. Rheinmetall, the sector's bellwether, has paused for breath after its own powerful rally, hovering around €1,150, but Deutz shows no comparable consolidation — the uptrend remains intact.
The FFG integration shifts Deutz's business model visibly toward the defence sector, and the market is clearly rewarding that repositioning with a higher multiple. Analyst Maximilian Berger frames the recent price action as a continuation of a broader trend rather than an isolated spike. The question for investors is how much of the re-rating is already in the price.
The shares sit within touching distance of their yearly high, while the fundamental re-rating has only just begun to show up in the numbers. Whether the current momentum is underpinned by operational progress or driven primarily by sector enthusiasm remains an open question — one that will only be answered over the coming quarters as FFG's contribution starts to flow through the income statement.
A Market That Has Front-Run the News
For those tempted to chase the rally, the risk profile deserves attention. A stock that has absorbed a near-unanimous shareholder vote, a clean antitrust clearance, and an accelerating defence narrative in a matter of weeks leaves little room for positive surprises that haven't already been priced in. Markets that have front-run good news tend to react more sharply to disappointments than to confirmations.
The deal is expected to close between the end of 2026 and early 2027, assuming the remaining approvals proceed as smoothly as those already secured. The operational test — whether Deutz can translate its strategic pivot into order books and margin improvements that justify the re-rating — is still ahead. The FFG families' long-term commitment provides a solid foundation, but the proof will come in the integration's execution, not in the shareholder vote that authorised it.
