Deutz Completes FFG Takeover as Third-Quarter Miss Clouds the Armour Growth Story

Deutz completed the FFG acquisition and reiterated 2026 guidance, but Q3 revenue of EUR 553.9 million and adjusted EBIT of EUR 38.5 million fell short of consensus.

Deutz has closed its acquisition of the Flensburger Fahrzeugbau Gesellschaft (FFG), turning a planned transaction into a completed purchase — and handing investors a fresh yardstick by which to judge the defence-driven expansion. The same day brought a less comfortable data point: third-quarter revenue and adjusted EBIT both fell short of analyst consensus, according to Dow Jones.

The two developments pull in opposite directions, and that tension is the story. Growth is real; so is the gap between what Deutz delivers and what the market expects.

What the quarter actually showed

Revenue for the three months to September came in at EUR 553.9 million, up 12.3% year on year. Adjusted EBIT reached EUR 38.5 million. Neither figure cleared the consensus mark. The shares initially advanced after the release, dpa-AFX reported, but the early support faded as the session wore on, leaving the stock down 4.7% on the day. That move should not be read as a verdict on the FFG deal — a single session's trading rarely is.

Over the full nine months, the picture is sturdier. Revenue rose 11.3% to EUR 1,669.2 million, while adjusted EBIT climbed 36.0% to EUR 118.2 million, lifting the adjusted EBIT margin to 7.1%. Earnings therefore outgrew sales, a sign of improved profitability rather than mere top-line expansion.

Should investors sell immediately? Or is it worth buying Deutz?

Orders tell a similar story of momentum. The intake of new business jumped 30.4% to EUR 1,962.5 million in the first nine months, meaning Deutz booked work considerably faster than it converted it into revenue. For 2026, management reiterated its revenue guidance of EUR 2.3 billion to EUR 2.5 billion — notably, the order surge did not come with a raised forecast for the current year.

FFG: a promise with a deadline

The completed takeover adds a defence dimension to the Deutz equity case. For 2027, the company expects FFG to contribute more than EUR 1 billion in revenue at an adjusted EBITDA margin above 20%. Those are projections, not results, and the distinction matters: closing a purchase and running the acquired business are two separate tests, and only the second one will show up in the accounts.

A cautionary signal arrived from elsewhere in the sector the same day. Rheinmetall cut its 2026 revenue and margin guidance, according to a dpa-AFX report, citing delays in military orders. That has no direct bearing on Deutz, but it illustrates how demand, scheduling and realised profit can drift apart in defence markets. The lesson for investors is to treat order books and growth targets as possibilities rather than guaranteed outcomes.

Reading the signal through the noise

Deutz's own shares slipped 2.3% in one reading of the day's trading, though no direct link to the Rheinmetall news should be inferred from that move. What the session does suggest is a market weighing execution rather than narrative.

The balance sheet of evidence is mixed but not discouraging. A 36.0% jump in adjusted EBIT and a 30.4% order increase give the growth argument more substance than an optimistic outlook alone. Against that, a quarterly miss on both revenue and profit shows that expanding a business and satisfying market expectations are not the same thing.

The burden now falls on delivery. Orders must turn into sales, and the FFG contribution must materialise at the scale and margin promised for 2027. Until then, the completed acquisition widens the opportunity — and raises the bar Deutz has to clear.
