Cresco Labs is asking shareholders to sign off on a sweeping corporate overhaul that would create a new parent company and move its legal home from British Columbia to Delaware — a maneuver designed to clear a path toward a possible listing on a major U.S. exchange.

The cannabis producer filed proxy materials for the upcoming annual and special meeting on September 24. Under the proposal, a new top-level holding company, referred to as TopCo, would replace the existing Canadian parent, with Delaware becoming its jurisdiction of incorporation. The package also includes an extension of the expiry deadline for the company's multiple-voting shares. Management has stressed that a U.S. listing is not guaranteed, but the restructuring is intended to satisfy the formal prerequisites should the company decide to pursue one.

Shareholders will vote on the measures at a meeting scheduled for October 30, 2026, with proxy submissions due by October 28, 2026.

Board Adds Former Cboe Chief

The governance shake-up comes alongside a change in the boardroom. Edward Tilly, the former chairman and chief executive of Cboe Global Markets, joined the board as an independent director on September 18 and took a seat on the audit committee. His appointment expanded the board to eight members.

Regulatory Timetable Slips

Even as Cresco Labs works through its internal reorganization, the broader push for federal cannabis reform has hit a roadblock. According to media reports, DEA Chief Administrative Law Judge Derek C. Julius has suspended the agency's reclassification proceedings on an interim basis. The pause followed a request from three parties opposing the process, who sought to have a Government Accountability Office report entered into the record. The delay puts a hold on the next stage of the process — moving toward an official agency recommendation — and represents a setback for the industry as a whole, since federal rescheduling is seen as a key condition for wider access to U.S. financial markets.

Shares Under Pressure

The combination of long-term structural planning and near-term regulatory disappointment weighed on the stock. Cresco Labs shares fell 7.7% in today's session to EUR 0.6000, extending the year-to-date decline to 40%.
