Commerzbank: UniCredit's ECB Green Light, a Brussels Deadline, and a Buyback That's Already Done

UniCredit has cleared one of its biggest regulatory hurdles in its pursuit of Commerzbank — but the finish line is still some distance away. On Thursday the Italian lender disclosed that the ECB had authorised it to push its stake in the German bank beyond 30 percent, with no cap attached. That is a significant supervisory green light. It is not a completed takeover.

The distinction matters for anyone holding the stock. UniCredit says it expects to wrap up the remaining approvals and conditions by the end of the year, at which point it would hold roughly 50 percent of Commerzbank's voting rights and be in a position to take control. That figure describes an intended destination, not a stake already in hand — and the ECB's permission does nothing to substitute for the decision still pending in Brussels.

Brussels Sets the Next Marker

According to dpa-AFX, the European Commission is expected to rule on the plans by 16 November. That competition review is the next substantive checkpoint, and the date should be read as an expectation rather than a granted approval.

Finance Minister Lars Klingbeil offered a constructive note on Friday, describing the exchange with UniCredit over key conditions as productive. His remarks signal a willingness to talk. They do not close out negotiations over those conditions, nor do they amount to a commitment from the competition authority. What ultimately counts for Commerzbank is whether constructive dialogue translates into satisfied preconditions for the planned change of control.

Should investors sell immediately? Or is it worth buying Commerzbank?

Orlopp Leaves Room in the Calendar

Chief executive Bettina Orlopp, speaking on Wednesday according to Handelsblatt, said she expects the supervisory approvals for UniCredit's control takeover either this year or at the latest in early 2027. Her timeline therefore stretches beyond the year-end completion UniCredit is targeting. Both remain forecasts, and investors would do well to keep the desired finish line separate from the conditions actually met.

A Buyback Already in the Books

Away from the deal process, Commerzbank reported on 12 October the purchase of 2,987,942 of its own shares during the most recently disclosed buyback window — the period from 5 to 9 October inclusive. Since the current programme began, repurchases have totalled 11,114,083 shares. The buyback thus runs alongside the takeover saga: a measure the bank has actually executed, set against a control build-up by UniCredit that is still tied to outstanding conditions.

RBC Lifts Its Target, Not Its Rating

RBC Capital Markets raised its price target on Tuesday to EUR 41 from EUR 40, keeping its rating at "Sector Perform." The higher marker did not come with an upgrade, which limits how much the adjustment can be read into: the Canadian house moved its number, not its fundamental view of the shares. An unreservedly bullish analyst stance cannot be inferred from it.

For now, progress on approvals and conditions remains the central news driver for Commerzbank — and the anticipated Commission decision is the next concrete date on the calendar. Until then, the constructive tone of talks and UniCredit's control ambitions are clearly separate from an ownership change that has actually taken place.
