Commerzbank's Diplomatic Turn: Record Profits and a Regulator's 60-Day Countdown

The numbers were emphatic. The tone was historic. And the clock is now formally ticking in Frankfurt, in Rome, and at the European Central Bank's headquarters.

Commerzbank's second-quarter net profit nearly doubled to €898 million from €462 million a year earlier, a result that has handed chief executive Bettina Orlopp both a platform and a pivot. For the first time, she has signalled openness to "constructive talks" with UniCredit over a potential takeover — a rhetorical shift that markets have been quick to price in.

A Record Quarter, a Raised Bar

The quarterly performance helped lift first-half operating profit to €2.7 billion, up 14 percent year on year. Management has responded by raising its full-year net income target to at least €3.4 billion, having previously guided for more than €3.2 billion. The bank is also guiding to a return on equity above 12 percent for 2026.

The shares closed Friday at €39.07, up 1.35 percent, leaving them just under 2 percent shy of the 52-week high of €39.85 touched on the day the results landed. The stock now trades roughly 4 percent above its 50-day moving average, a sign of a firmly established uptrend.

Should investors sell immediately? Or is it worth buying Commerzbank?

Alongside the earnings release, the bank unveiled a new share buyback programme of up to €1.2 billion. The ECB has already waved the plan through, though final approval from Germany's finance agency is still pending. A repurchase of that scale does double duty: it signals capital strength to shareholders and bolsters the case that Commerzbank can thrive as an independent entity even as the UniCredit question looms.

The Regulatory Clock Starts

The backdrop to all this is a formal process that only recently shifted into a decisive phase. Germany's BaFin has deemed UniCredit's application to raise its Commerzbank stake above 30 percent as formally complete and has forwarded it to the ECB for final review. That triggers a 60-day decision window at the end of which the ECB will rule on the control question.

This regulatory path follows an earlier setback for UniCredit. When its exchange offer formally closed on July 8, only 2.7 percent of independent institutional and retail shareholders had tendered their shares. UniCredit has since pivoted to seeking a direct increase in its holding.

The Italian lender already controls a formidable position. After the tender process, 17.6 percent of Commerzbank shares were tendered, and combined with existing positions and derivatives, UniCredit now effectively commands close to 50 percent of voting rights. That concentration of power explains why Orlopp's softening stance has been so closely watched — it may mark the first step toward a negotiated resolution rather than a hostile one.

Analysts Split on the Path Ahead

The earnings beat has triggered a flurry of target revisions, though the Street remains divided on how the story ends.

Deutsche Bank Research reaffirmed its "Buy" rating with a €42 price target on Thursday, with analyst Benjamin Goy praising operational strength while flagging weaker momentum in fee income. JPMorgan was more cautious, nudging its target from €37 to €38 on Friday while keeping a "Neutral" stance.

The most emphatic call came from the DZ Bank, which on Saturday lifted its target from €42 to €46 with a "Kaufen" rating. Analyst Philipp Häßler cited both the better-than-expected quarterly figures and what he now considers the base case: a full takeover by UniCredit.

Political Winds Shifting

The German government, which retains a 12.7 percent stake, has so far held its ground. But insider reports suggest Berlin has grown increasingly receptive to a European consolidation solution in recent days. That political dimension, alongside the supervisory review, now forms the second pillar of the equation for investors.

Orlopp's carefully worded commitment to "all stakeholders" even as she opens the door to UniCredit captures the balancing act at the heart of this saga. The bank is delivering operationally at a level that exceeds expectations, while the question of its ultimate ownership approaches what looks like a genuine inflection point.

Should the ECB give its blessing within the 60-day window, the debate over a full takeover would sharpen considerably — backed by results that have won over even the sceptics. The next concrete milestone arrives November 5, when the bank reports third-quarter figures. By then, the regulatory picture may well be clearer, and the diplomatic overture from Frankfurt may have evolved into something more substantive.
