Commerzbank's Capital Returns Hold Firm as UniCredit's Boardroom Ambitions and Analyst Downgrades Weigh on the Stock

Commerzbank confirmed the repurchase of 2,037,832 of its own shares during the period from September 21 through September 25, bringing the cumulative volume since the program's launch on September 4 to 6,255,093 shares. The buyback continues apace even as the Frankfurt lender finds itself squeezed between an increasingly assertive Italian suitor and a wave of caution from the analyst community.
That caution crystallized on Friday, when RBC Capital Markets cut its rating on the stock to "Sector Perform" from "Outperform" and trimmed its price target to EUR 40 from EUR 43. Analyst Anke Reingen, cited by dpa-AFX, pointed to higher cost of equity as well as added risks and diminished predictability stemming from UniCredit's plans. The downgrade followed Deutsche Bank Research's move on Wednesday, which lowered the shares to "Hold" from "Buy" while keeping its EUR 42 target unchanged; analyst Benjamin Goy argued that the key drivers are already reflected in the current valuation.
Trading reflected the more guarded mood. The stock closed Friday at EUR 39.08, down 0.9 percent on the day and 7.5 percent over a seven-day stretch. The longer view remains brighter, with the shares up 8.2 percent since the start of the year.
A January Showdown Takes Shape
At the heart of the uncertainty sits UniCredit's agenda. According to media reports, chief executive Andrea Orcel intends to convene an extraordinary general meeting once the outstanding regulatory approvals are in hand, with the goal of replacing all ten shareholder representatives on Commerzbank's supervisory board as early as January 2027. A change at the top of the management board, currently led by Bettina Orlopp, is also on the table.

Political resistance is mounting in parallel. Sources in Berlin's government circles say the federal government is demanding concrete commitments on job retention and on Germany as a business location. The supervisory clearance for the Italians' stake has yet to be granted. A Bloomberg report indicates that the German government, following talks with Orcel, is pressing for far-reaching assurances covering the retention of the stock exchange listing, the Frankfurt headquarters, existing jobs and capital staying in Germany. UniCredit approved a capital increase on September 10 to backstop a voluntary takeover offer for Commerzbank.
Orlopp Keeps Options Open
Orlopp has not ruled out a combination. On September 24 she described a takeover of HypoVereinsbank as one of several conceivable options in the event of a tie-up with UniCredit, noting that a share swap could lift the Italian group's stake. A day later, in an interview, she stressed the importance of keeping the Swiss business and highlighted the future value creation for shareholders.
Retail Push Targets State-Sponsored Retirement Market
While the takeover drama plays out, Commerzbank and its online subsidiary comdirect presented the findings of a joint YouGov survey on the planned state-subsidized retirement savings account. The bank intends to offer its own products, along with comdirect offerings, when the subsidy program launches in 2027. The poll of more than 1,500 respondents shows that information meaningfully boosts willingness to save privately: 38 percent of participants consider signing a contract likely. Interest runs strongest among the young, with 47 percent of those aged 18 to 25 expressing an intention to take out such a product. Expanding the securities and deposit business remains a central pillar of the bank's customer franchise.
Market participants will get fresh insight into operating performance on November 5, 2026, when Commerzbank publishes its interim report for the third quarter.
