Commerzbank's €1.2 Billion Buyback Presses On While UniCredit Waits for the ECB's Green Light

Commerzbank shares ended the trading week on the back foot, shedding 2.6% on Friday to close at EUR 40.37. The retreat came amid a broad-based pullback across European banking stocks, as rising government bond yields and lingering concerns over interest rates and inflation weighed on equity markets worldwide. The decline widened the gap to the stock's 52-week high of EUR 43.34, leaving the shares 6.9% below that peak.

Media reports also noted that the stock slipped beneath its closely watched 20-day moving average during Friday's session — a technical signal that underscores how skittish investors have become as they track UniCredit's pursuit of the Frankfurt lender.

Berlin Sets Its Terms

The consolidation comes against a backdrop of mounting political and regulatory hurdles for the Italian bank's ambitions. On September 14, German Finance Minister Lars Klingbeil held a first direct conversation with UniCredit chief Andrea Orcel — the first such exchange between the finance ministry and the Italian lender's leadership in two years — to sound out the parameters of a possible transaction.

Berlin has attached firm conditions to any approval. According to media reports, the government wants Frankfurt am Main to remain both the company's headquarters and its stock exchange listing venue. It is also demanding protection against compulsory redundancies and two seats on the supervisory board.

UniCredit, for its part, has secured access to as much as 49.65% of Commerzbank's voting rights, while the Federal Republic of Germany holds roughly 12% to 13%. A voluntary takeover offer that concluded in July ended with an acceptance rate of just 17.6%. The formal approval of the European Central Bank for the transfer of shares and the acquisition of a voting majority is still outstanding.

Orcel is reportedly pushing for deep personnel changes, which could cost Commerzbank CEO Bettina Orlopp and supervisory board chairman Jens Weidmann their positions.

Buyback Engine Keeps Running

Regardless of the advances from Milan, Commerzbank is pressing ahead with its own agenda. The bank launched a share buyback program worth up to EUR 1.2 billion on September 2, a cornerstone of its planned capital return for the 2026 financial year. Between September 4 and 11 alone, the institute repurchased 2,240,372 of its own shares on the market.

For the full year 2026, management is targeting a total distribution of around EUR 3.2 billion, underpinned by an intended net profit of at least EUR 3.4 billion. At least half of that profit is to flow to shareholders as dividends, supplemented by further buybacks.

Back in May, the board raised its operating bar for 2026, eyeing a net result of at least EUR 3.4 billion and a cost-income ratio of roughly 53%. The bank's updated "Momentum 2030" strategy, meanwhile, aims for a step-by-step improvement in returns.

By the 2030 financial year, Commerzbank is targeting a net result of EUR 5.9 billion and a return on equity of 21%, alongside a cost-income ratio of 43%. Whether those plans are executed on a standalone basis remains heavily dependent on the decisions of banking regulators and UniCredit's next moves.
