Commerzbank Faces Twin Downgrades as UniCredit Clouds the Outlook

Commerzbank is pressing ahead with preparations for Germany's state-subsidised retirement savings scheme, even as its shares absorb a bruising week on the trading floor. The Frankfurt lender, working alongside its comdirect subsidiary, released a YouGov survey on Thursday showing that 38% of respondents would consider opening a so-called retirement savings depot — a product category set to launch under the government's planned subsidy programme in 2027. Among savers aged 18 to 25, that figure climbs to 47%. The poll, which canvassed 1,517 people, also found that willingness to sign up rises in step with how much customers know about the product. Commerzbank has signalled it will roll out its own depot offering when the reform goes live, aiming to lock in clients for long-term securities investment.
Analysts Retreat After a Strong Run
The operational groundwork, however, has done little to shield the stock from a shift in sentiment on the sell side. Deutsche Bank Research cut its rating to "Hold" from "Buy" on Wednesday, though analyst Benjamin Goy left his price target untouched at EUR 42. His argument: the main catalysts — higher net interest income and capital returns — are now largely reflected in the valuation. RBC Capital Markets followed on Friday, with analyst Anke Reingen downgrading the shares to "Sector Perform" from "Outperform" and trimming her target to EUR 40 from EUR 43. She pointed to rising cost of equity and the difficulty of modelling Commerzbank's business prospects given the intentions of its major shareholder, UniCredit.
The stock closed Friday at EUR 39.08, down 7.5% over the week. During Friday's session it at times fell as much as 3.3%. The pullback has widened the gap to its 52-week high of EUR 43.34, leaving investors to weigh how much further upside the shares can realistically price in after their recent rally.

UniCredit Keeps Everyone Guessing
The Italian bank remains the single biggest source of uncertainty hanging over the Frankfurt institution. According to a Handelsblatt report on Thursday, UniCredit is considering Michael Diederich as a possible successor to CEO Bettina Orlopp. Diederich currently co-heads Deutsche Bank's corporate clients division.
Orlopp herself struck a conciliatory tone on 25 September, saying that after earlier defensive manoeuvres she wants to pursue constructive cooperation with UniCredit, with the goal of steadily increasing value for shareholders. She described a later merger of HypoVereinsbank with Commerzbank as a conceivable scenario — provided UniCredit secures the necessary majority. While Milan's strategic plans carry genuine value-creation potential, they simultaneously raise the bank's risk profile and make its future trajectory harder for market participants to predict.

Investors will get their clearest read yet on the bank's underlying earnings on 5 November 2026, when Commerzbank publishes its interim results for the third quarter.
