Commerzbank is pressing ahead with plans to hand back up to €1.2 billion to shareholders through a fresh buyback of its own stock, a move that runs in parallel with management's efforts to chart a way out of its standoff with Italy's UniCredit. The repurchase programme is scheduled to wrap up no later than 10 February 2027.

The buyback forms one piece of a broader capital-return framework. For the 2026 financial year, the Frankfurt lender is targeting total distributions of roughly €3.2 billion, anchored in a net profit goal of at least €3.4 billion. Once coupon payments on additional tier 1 (AT-1) bonds are deducted, the payout ratio is designed to hit 100%, with dividends accounting for no less than half of that sum. Management's willingness to commit to those figures amounts to a vote of confidence in the bank's earnings engine.

Orlopp Reaches Out as Berlin Sets Conditions

Chief executive Bettina Orlopp used Friday to push for a constructive dialogue with UniCredit while stressing that Commerzbank must generate more value for its own shareholders going forward. She also made clear the bank intends to keep its Swiss operations. The conciliatory tone builds on the position Commerzbank first set out on 18 September, when it said it was seeking talks on equal footing with the Italian group and described a constructive exchange as the right route to a sustainably value-creating outcome.

That stance follows UniCredit's takeover approach more than a month ago, which sent Commerzbank shares up 14.1%. Three scenarios are now on the table for how the relationship with HypoVereinsbank could evolve: a direct merger of the two institutions, a further takeover offer followed by a squeeze-out, or the acquisition of HypoVereinsbank in exchange for newly issued Commerzbank shares. Orlopp considers a later integration of HypoVereinsbank a possibility. According to media reports, preparatory steps are also underway for a potential extraordinary general meeting, which could give shareholders a forum to weigh the options for dealing with the Italian major shareholder.

Berlin, for its part, has attached firm strings to any combination. Finance Minister Klingbeil has said Commerzbank must survive as a listed stock corporation headquartered in Frankfurt and must continue its German and international mid-market lending business. The government also wants guarantees against compulsory redundancies and is demanding two supervisory board seats. UniCredit chief Andrea Orcel called his meeting with the finance minister good and constructive, though no concrete results have emerged.

Shares Firm Near Record as Ownership Register Shifts

Investors have taken the combination of operating gains and active price support through the buyback in their stride. The stock closed Friday at €42.39, up 1.9% on the day and just 2.2% below its 52-week high. As long as the fronts in the takeover poker remain hardened, the steady retirement of its own shares gives the DAX group a tool to underpin its value from its own resources.

There was movement in the shareholder register as well. Commerzbank published a voting-rights notification from Japanese financial group Nomura Holdings Inc., alongside a separate disclosure from US financial firm Jefferies Financial Group. The bank has already fixed the date for its next fundamental update: third-quarter 2026 results are due on 5 November.
