Commerzbank: A Second BlackRock Filing, a 41-Euro Target, and a Brussels Deadline Standing Between Permission and Control
Published on 10/19/2026 at 13:40 | Editorial boerse-global.deCommerzbank's shareholder register has drawn fresh attention after BlackRock disclosed another threshold crossing, its second in as many days. The world's largest asset manager reported the latest notification on Thursday, dated to 9 October. The prior filing, logged on Wednesday, referenced 8 October. Two mandatory disclosures, two separate reference dates — and neither of them says anything about who will ultimately run the Frankfurt lender.
That distinction matters more than the sheer volume of stake notices. BlackRock's regulatory filings document movements within the shareholder base. UniCredit's ambitions are a different matter entirely, and they remain an expectation rather than an accomplished fact.
Permission granted, control not yet delivered
The European Central Bank last week cleared UniCredit to lift its holding in Commerzbank beyond the 30% threshold without any cap. That is a genuine regulatory milestone. It is not the same thing as control.
UniCredit has said it expects to hold roughly 50% of voting rights and secure control of the bank by the end of the year. That target, by the Italian lender's own account, hinges on completing the remaining regulatory procedures and satisfying the conditions attached to its offer. The ECB's green light opens the door to further stake-building; it does not walk UniCredit through it.
Should investors sell immediately? Or is it worth buying Commerzbank?
Brussels supplies the next checkpoint. Reuters reported on 9 October that the European Commission is expected to rule on the takeover plans by 16 November. That date is a marker to watch, not a verdict already written. A separate EU review was still underway as of Thursday, according to a Tagesschau report.
Klingbeil's "constructive" talks — and what they don't settle
German Finance Minister Lars Klingbeil described the negotiations with UniCredit over key conditions of the planned takeover as constructive, according to media reports on Friday. The remark characterises the tone of the conversation. It does not signal that terms have been agreed. Constructive dialogue and a signed deal sit in different columns, and investors would do well to keep them apart.
RBC nudges the target, leaves the rating alone
The most recent dated analyst action offers a similarly nuanced picture. RBC Capital Markets raised its price target on Commerzbank from 40 to 41 euros on 13 October, while keeping its "Sector Perform" rating unchanged. A higher target is not an upgrade. Nor does a broker's valuation say anything about whether UniCredit will actually reach the control position it has sketched out.
Commerzbank at a turning point? This analysis reveals what investors need to know now.
Two calendars, two different questions
Alongside the regulatory track, Commerzbank is due to publish its Q3 2026 results on 5 November. That gives investors two separate dates to circle: one for the operating story, one for the takeover saga. The earnings release speaks to how the business is performing. The anticipated Commission decision speaks to whether the regulatory path clears.
The takeaway for shareholders is straightforward. UniCredit holds a significant authorisation and can keep building its stake without a ceiling. Full control, however, still depends on hurdles that have yet to be cleared — and on a Brussels ruling that has not yet landed.
