Commerzbank: A Regulatory Green Light, a Buyback Ledger, and a November Date Still Standing in the Way

UniCredit has cleared one of its biggest hurdles in the long march toward control of Commerzbank — but the finish line is not where the headlines might place it. On Thursday the ECB granted the Italian lender permission to push its stake past the 30% threshold and to keep building without any cap. That is an authorization, not a completed takeover. UniCredit's own guidance puts the remaining regulatory steps and offer conditions on a year-end timeline, after which it expects to hold roughly 50% of voting rights and be in a position to take control.

Between those two points sits a Brussels appointment that matters just as much. The European Commission's verdict is the next significant procedural step and is expected by 16 November. Until it lands, the gap between "allowed to buy more" and "has bought enough" remains wide open.

The Federal Government's Wish List Is Not a Contract

Politics adds a second layer of uncertainty. German Finance Minister Lars Klingbeil said on Friday, according to Zeit, that talks with UniCredit had been constructive. Berlin's stated aims are to prevent compulsory redundancies and to secure both the Frankfurt headquarters and the mid-market lending business. Those are negotiating positions, not signed commitments — a distinction that matters when weighing how much of the takeover story is already priced in.

Should investors sell immediately? Or is it worth buying Commerzbank?

What BlackRock's Filing Actually Says

A separate disclosure landed on Thursday, and it deserves more careful reading than it typically gets. BlackRock reported a combined position of 4.38% of voting rights and instruments in Commerzbank, with 9 October named as the threshold date. The figure bundles instruments alongside shares, so it cannot be equated with a pure equity stake. Nor does it establish that BlackRock added to its holdings — the composition of such filings carries more information than the headline number, which is not a buy signal in disguise.

Commerzbank, meanwhile, has been buying its own stock. Between 5 and 9 October inclusive, the bank repurchased 2,987,942 shares under its running buyback program, a transaction it disclosed on 12 October. Unlike UniCredit's projections about a future stake, these purchases have already settled. They say nothing, however, about how the outstanding approvals will resolve.

Two Analysts, Two Verdicts, One Price Band

The analyst community is not waving anyone into the trade. JPMorgan reaffirmed its "Neutral" rating and a EUR 39 price target on Friday, even as it nudged its earnings estimates for 2027 and 2028 slightly higher. Better profit assumptions, in other words, did not translate into a more bullish recommendation or a loftier target. Deutsche Bank Research, for its part, kept its "Hold" rating and EUR 42 target on Thursday.

The Date That Tests the Business, Not the Deal

All of this sets up 5 November, when Commerzbank reports third-quarter 2026 results. That release is the cleanest available gauge of how the bank is actually performing, independent of the ownership question. A regulatory clearance to expand a stake does not answer how earnings are developing; only the numbers can do that. For shareholders, progress on the control question and evidence of operating strength are separate ledgers — and advances on one do not substitute for results on the other.
