Commerzbank's takeover saga has acquired a second front. While investors fixate on whether UniCredit will reach the roughly 50% stake and control it expects by year-end, the bank's own client base has become a battleground in its own right — and the latest shareholder filings and analyst notes suggest the market is watching several clocks at once.

According to a report published today by Handelsblatt, Deutsche Bank board member Alexander von zur Mühlen sees opportunities to win corporate clients, both in Germany and abroad. That turns a competitive lens on the Frankfurt lender's franchise: a takeover fight is not only about voting rights and board seats, it can also hand rivals an opening to approach customers.

No actual client exodus has been documented, and the distinction matters. What has been described is an opportunity spotted by a competitor, not a quantified loss for Commerzbank. Even a successful change of ownership would not, by itself, prove that the operational handover ran without friction.

Permission and control are not the same thing

The ownership picture shifted again on the disclosure front. BlackRock reported a threshold crossing on Thursday, with the filing naming 9 October as the date the threshold was reached or exceeded. That followed a filing on Wednesday tied to 8 October. The two notices therefore refer to different reference dates and should be kept separate from UniCredit's announced stake build-up — mandatory disclosures and a control perspective do not describe the same event.

Should investors sell immediately? Or is it worth buying Commerzbank?

UniCredit, for its part, has regulatory clearance to raise its stake without an upper limit. That approval is a supervisory step, not the same as the control it expects to acquire. By its own account, the Italian bank anticipates holding around 50% of voting rights and control of Commerzbank by the end of the year, contingent on completing the remaining regulatory procedures and satisfying offer conditions. A green light for further purchases is one thing; a completed control change is another.

Commerzbank is resisting the takeover, leaving the transition tied to preconditions and politically contested. The German government has demanded that the Frankfurt headquarters, jobs and lending to German companies be preserved — and it is precisely the credit supply that links the political debate to the competitive question.

A long gap before any merger

Control and full integration are separate stages. A merger with HVB is being considered for 2029–2030, while Andrea Orcel wants to launch his plan, geared toward higher profits, as early as January 2027. That gap makes the client business a standalone issue: Commerzbank would need to keep tending its relationships even if the ownership question is settled well before the final organizational set-up.

Commerzbank at a turning point? This analysis reveals what investors need to know now.

On valuation, RBC offered a more measured view in an analyst action dated 13 October, raising its price target to EUR 41 from EUR 40 while keeping its "Sector Perform" rating, according to media reports. The higher target did not come with an improved recommendation — and it says nothing about whether UniCredit will actually achieve the control it expects.

For shareholders, the takeaway is that the formal ownership question and the operational one run on different schedules. BlackRock's filings document movements within the shareholder base; UniCredit's control ambitions still hinge on conditions yet to be met. Whether rivals actually convert their interest into gains has not been established.
