Commerzbank: A 47.59% Capital Stake, a 49.65% Voting Target, and a 2029 Finish Line

UniCredit's push for Commerzbank has always been a story told in stages, and the latest disclosures make the gaps between those stages unusually plain. The Italian lender expects to command roughly half of Commerzbank's voting rights by the end of 2026. Full integration, by contrast, may not arrive until 2029 or 2030, according to UniCredit CEO Andrea Orcel. For shareholders, the distinction matters: a voting position near 50% is not the same thing as a completed merger.

What UniCredit Actually Owns

The composition of the stake deserves close attention. Following its offer, UniCredit was tendered 17.6% of Commerzbank shares. It holds 26.77% directly and can acquire a further 3.22% through financial instruments. Those categories carry different status, and none of them should be treated as a fully available holding.

Stacked together, they point to a potential 47.59% of the capital. On voting rights, UniCredit cites about 49.65%. The capital share and the voting share are not identical, and the bank is aiming for a position close to half the votes rather than an exact match.

Reuters and Agerpres reported that UniCredit holds 48% of Commerzbank following the hostile takeover offer completed in July, a deal valued at EUR 45 billion. However the figure is sliced, the entry is far advanced. What remains outstanding is the conversion of that position into the control UniCredit says it expects.

Should investors sell immediately? Or is it worth buying Commerzbank?

Approval Is Not Completion

The ECB has already cleared UniCredit to expand its stake, a supervisory building block that does not substitute for the conditions still pending. Further regulatory steps and offer terms remain open. A green light and actual execution are two different things, and the announced next stage is an expectation rather than a finished process.

Resistance on the German side has not faded. Commerzbank's management and the federal government both oppose the takeover, and the high stake has done nothing to settle that conflict. Economic ownership and consent to a merger remain separate questions, leaving investors to weigh UniCredit's deepening foothold against a German establishment that continues to say no.

Profit Targets Are Forecasts, Not a Track Record

UniCredit's earnings ambitions also come with strings attached. Excluding integration costs, the target is around EUR 11.5 billion. Those are projections, not results already booked. Integration costs explicitly factor into the presentation, and the longer-term profit goals predate any full consolidation of Commerzbank, so they should not be read as an earnings forecast for a combined bank.

Commerzbank at a turning point? This analysis reveals what investors need to know now.

The timetable itself has multiple legs. UniCredit expects to satisfy the remaining conditions by the end of 2026, a date that reflects the bidder's own expectation rather than a guaranteed close. Even if the tendered shares and acquisition options are converted into the intended voting position, the organisational merger would still lie years away on Orcel's horizon.

For Commerzbank investors, the yardstick is procedural progress: whether the outstanding conditions are met, how many votes UniCredit actually commands once they are, and how concrete the integration plans become. Tracking those steps tells you more than conflating approval, control and a finished takeover into a single event.
