Commerzbank: 3.16 Million Shares Bought Back, Two BlackRock Filings, and a Takeover Still Short of the Finish Line

Commerzbank bought back 3,157,027 of its own shares, the bank disclosed, with the purchases covering the period from 12 through 16 October. The stock slipped 2.0% on the session, though the buyback notice and the price move should be read on separate tracks — the filing documents shares already acquired under a program already in motion, not a fresh announcement of further purchases, and it carries no operational message.

What the disclosure does confirm is execution. The repurchase program is being run, not merely talked about.

Two BlackRock Filings, Two Different Dates

Ownership disclosures have also been stacking up. BlackRock reported a threshold crossing on Thursday, with the date of reaching or exceeding the level given as 9 October. That followed a filing on Wednesday tied to 8 October — separate notifications pegged to separate reference dates.

These are statutory stake notices and have nothing to do with UniCredit's planned expansion of its holding. Keeping the two apart matters more than tallying up a run of ownership headlines: BlackRock's filings describe movements within the shareholder base, while UniCredit's control ambitions rest on conditions that have yet to be met.

Should investors sell immediately? Or is it worth buying Commerzbank?

Permission Granted, Control Not Yet Delivered

On Thursday, UniCredit secured ECB approval to raise its stake beyond the 30% threshold and with no cap attached. That is a regulatory green light, not a completed takeover. UniCredit has said it expects to hold roughly 50% of voting rights and control of Commerzbank around year-end, contingent on finishing the remaining regulatory procedures and satisfying the offer conditions.

So permission and execution sit side by side. The supervisory clearance opens the door to further stake-building; the announced control remains an expectation subject to conditions. Nothing in the approval alone amounts to a completed change of control.

German Finance Minister Lars Klingbeil, speaking on Friday, described talks over takeover terms as constructive, according to dpa-AFX. The EU Commission was expected to rule on the plans by 16 November.

Analysts See Solid Earnings — and Keep Their Ratings

Deutsche Bank Research left Commerzbank at "Hold" on Thursday with a price target of 42 euros. Analyst Benjamin Goy anticipated solid quarterly results, expecting particularly good momentum in net interest and commission income. The call pairs an upbeat view of key revenue lines with a cautious recommendation — the expected operating performance did not translate into an upgrade at that house.

Commerzbank at a turning point? This analysis reveals what investors need to know now.

RBC Capital Markets, meanwhile, lifted its target to 41 euros from 40 on 13 October, keeping its "Sector Perform" rating. The higher marker changed nothing about the vote. Both analyst actions differ in the target adjustment, not in the fact that each rating stayed put.

For investors, several distinct threads now run in parallel: buybacks actually executed, expectations for the operating business, and a takeover process still in progress. The repurchase notice answers only the first of those questions.
