Cerebras Faces a Two-Front Test: Unlocked Shares and an Unsettled OpenAI Question

Cerebras dropped 11% amid a chip selloff, but lock-up expiry and OpenAI hardware uncertainty add company-specific pressure beyond sector sentiment.

Cerebras Systems closed Friday down 11%, caught in a broad retreat across technology and AI chip names. AP reported sliding chip stocks and mounting concern over whether the spending behind the AI build-out can be sustained. That backdrop accounts for part of the pressure. It does not, however, justify writing off the company-specific burdens as nothing more than sector panic.

The more useful question is not whether the stock fell alongside its peers. It is whether investors should read the move as purely a sentiment problem. Two developments argue against that: the shares cleared for sale, and the uncertainty surrounding OpenAI's hardware choices. Each deserves its own assessment.

Permission to sell is not proof of selling

On Wednesday, roughly 19.4 million Cerebras shares became eligible for sale under the staggered post-IPO lock-up schedule set out in the prospectus. Those holdings sat with board members, executives, employees and other shareholders. The potential supply of stock on the market therefore rose.

What the expiry does not show is that any of those holders actually sold. Treating eligibility as a completed transaction turns a possible overhang into a confirmed event, and the evidence does not support that leap. By the same token, dismissing the added supply as irrelevant would be just as hasty.

Should investors sell immediately? Or is it worth buying CEREBRAS SYSTEMS INC - A?

My read: the lock-up is a real weight, but not a verdict on Cerebras' business prospects. It concerns the tradability of existing shares. On its own, it says nothing about weaker demand for the company's hardware or an operational setback.

The hardware question carries more substance

The OpenAI uncertainty matters more. Reports on Monday kept alive the question of whether the "Ultrafast" inference variant of GPT-6.1 Sol ran on Nvidia graphics processors rather than Cerebras hardware. Coverage on Tuesday also pointed to competition from Microsoft's inference chips. None of this amounts to a hardware announcement confirmed by the company.

That is a different category of risk from an expiring holding period. Potential share supply hits the market directly. The hardware choice goes to the question of what role Cerebras might play in concrete applications. Reports deserve attention, but not the status of established fact beyond their degree of confirmation. It would be just as premature to read a broad loss of relevance into them as to ignore them entirely because they remain unconfirmed.

Microsoft adds a further dimension. The company unveiled its Maia 300 AI accelerator on Tuesday, with deployment planned to begin in 2027. It is intended to become the primary inference system for Microsoft's own products and services. That plan is a reason to take in-house chip competition from large technology firms seriously. It does not yet establish a specific order loss for Cerebras.

A dissenting view, and why it doesn't settle the argument

Roughly two weeks ago there was a more positive counterpoint: Paul Meeks of Freedom Capital Markets upgraded Cerebras from Hold to Buy, leaving his $209 price target unchanged. That call reflects a different assessment, but it does not automatically invalidate the pressures discussed since.

Weighing it all, a cautious reading holds up better than the claim of a simple overreaction. The sector selloff supplies the background. The potential additional share supply and the hardware competition supply company-specific reasons for restraint. A falling price on its own does not make those questions any less important. Cerebras should be judged on confirmed business developments — not on the ferocity of a single trading day.
