Standby guarantors have committed to back the transaction, and the subscription window remains open until 9 October at 4:00 p.m. Vancouver time. The Canadian Securities Exchange published the corresponding notice, with a record date and ex-date of 16 September.
Should the offering be fully exercised, the new rights would represent 50% of the 153,049,226 shares expected to be outstanding following the transaction and ahead of any potential consolidation — effectively doubling the share count. That prospect of heavy dilution for existing holders is widely viewed as the main driver behind the retreat, with the steep discount on the new shares adding to the unease.
Proceeds Tied to Brazilian and U.S. Exploration
Canamera has earmarked the bulk of the proceeds for project work. A significant portion is designated for exploration at the Turvolândia rare earth project in Brazil's Minas Gerais state, a 29,574-hectare property focused on ion-adsorption clay deposits. Funds are also slated for costs tied to mineral claims in the U.S. states of Colorado and Wyoming, along with general administrative and ongoing corporate expenses. Beyond Brazil and the United States, the company is also pursuing assets in Canada, according to media reports.

The move cooled near-term fears of Chinese export restrictions on rare earths, removing a catalyst that had supported the sector. Canamera, an explorer in the space, moves with the broader segment, though it did not appear as a trigger in reports on the sector-wide selling.
On the regulatory front, the company also filed a formal notice with the Canadian Securities Exchange setting a meeting and record date.
A Downtrend With Deep Roots
Friday's slide extends a longer decline. More than a month ago, Canamera secured an option on the Rare Earth Ridge project; since that step, the stock has shed 59.5%. The release of the company's fiscal-year results roughly a month ago likewise failed to spark a turnaround, with the shares down 56.2% since then.
