Regulatory filings have put a cluster of Broadcom-related share sales on the radar, arriving at a moment when the chipmaker is simultaneously fielding scrutiny in China and a fresh endorsement from Wall Street.

Form 144 Notices Stack Up

Three separate entities tied to the company filed notices of intent to sell under Form 144 with the U.S. Securities and Exchange Commission. D95GT, LLC disclosed plans to offload 631,972 shares, while H&S Investments I, LP — identified in the paperwork as connected to Broadcom's chairman — flagged 70,218 shares. The Samueli Foundation rounded out the group with a notice covering 72,474 shares.

These filings are notifications of intent, not confirmations that any transaction has been completed. Even so, the market tends to watch them closely, since large holders and foundations selling down positions can prompt investors to reassess near-term momentum and how insiders view the road ahead.

The D95GT sale traces back to a trading plan adopted on December 16, 2025 under Rule 10b5-1. Such arrangements let affiliated parties execute sales automatically at pre-set times, removing any question about the timing of trades. Wednesday was cited as the intended sale date for both the D95GT and H&S Investments notices.

Separately, Chief Legal & Corporate Affairs Officer Mark David Brazeal sold shares on September 15. A substantial block of 186,930 shares remains under his beneficial ownership following that transaction.

Sentiment also took a hit from news out of China. The Financial Times reported Wednesday that the country's state asset regulator had examined the use of Broadcom switches in government data centers. The concern among market participants is the risk of a politically driven swap to domestic suppliers — Broadcom switches could account for as much as 90 percent of the hardware at some state-owned enterprises, according to the report.

Bernstein Stays Bullish

Offsetting that pressure, Bernstein analyst Stacy Rasgon reaffirmed his Buy rating on the stock Monday, keeping his price target unchanged at USD 575.

Broadcom shares finished the session at EUR 309.90, a modest gain of 0.7 percent on the day. The stock sits 28 percent below its 52-week high, though it has climbed 4.1 percent since the start of the year.

The broader semiconductor sector has had a bumpy stretch. On September 14, chip names came under noticeable selling pressure, with Broadcom dropping more than 4 percent that session. The trigger was warnings from artificial-intelligence executives about the risks of moving too fast, alongside calls for a slower pace of development. Broadcom also faces mounting criticism in Europe. The European Cloud Competition Observatory has labeled the company's competitive position in the region's cloud sector as critical, pointing to a deterioration in VMware licensing practices and allegations of procedural obstruction during the European Commission's antitrust investigation. Media reports have also cited complaints from CISPE, the cloud industry body, about steep price increases for VMware software — reportedly reaching ten times previous levels.

For investors, the key questions now are how the announced share sales actually play out and how geopolitical tensions in the networking sector evolve.
